WHEREAS Client Name: (the "Client") has engaged Provider Name: (the "Provider") to evaluate software and provide structured feedback; and

WHEREAS the parties desire to set forth the scope, terms, and conditions under which Client will submit feedback regarding the Provider's software and the Provider may use such feedback.

SCOPE OF WORK

The Client will perform evaluations, complete this Survey and any attached test scripts, and submit observations, defect reports, and suggested improvements in accordance with the schedule set forth below. Feedback shall relate only to the Product identified herein.

FEEDBACK USAGE & INTELLECTUAL PROPERTY

By submitting this Survey, the Client represents and warrants that the feedback provided is accurate to the best of the Respondent's knowledge and that the Client has authority to submit feedback on behalf of any affiliated users. Unless otherwise agreed in writing, the Client grants Provider a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and distribute feedback and suggestions, including anonymized or aggregated results, for any purpose, including product development and marketing. Any feedback that the Client designates as confidential must be clearly marked in writing within the response and will be handled under the Confidentiality clause below.

PAYMENT TERMS

If consideration is payable in connection with this feedback engagement, the parties agree as set forth below.

TERM AND TERMINATION

This engagement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate for convenience upon written notice to the other delivered at least the indicated Notice period prior to intended termination. Termination for cause may occur immediately for uncured material breach following a 15-day cure period if the breach remains uncured.

CONFIDENTIALITY

Each party shall treat as confidential all non-public business, technical and other information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given its nature. Confidential information shall not include information that is (a) publicly available without breach of this Agreement, (b) rightfully received from a third party without restriction, (c) developed independently without use of the other's confidential information, or (d) required to be disclosed by law provided the disclosing party gives prompt notice and cooperates in seeking protective treatment. Feedback that is not marked confidential may be used by Provider in accordance with the Feedback Usage clause above.

GOVERNING LAW

This Agreement and any dispute arising out of it shall be governed by and construed in accordance with the laws of Jurisdiction: without regard to conflict of law principles.

ENTIRE AGREEMENT

This Survey and the terms set forth herein constitute the entire agreement between the parties with respect to the subject matter and supersede all prior and contemporaneous understandings and agreements, whether written or oral. Any amendment must be in writing and signed by duly authorized representatives of both parties.
