Access granted under this Agreement shall commence on and continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective termination date. Company Name may suspend or revoke access immediately upon a material breach, suspected security incident, or violation of applicable law.

Confidentiality and Data Protection

The Authorized User shall: (a) use Confidential Information solely for authorized business purposes; (b) not disclose Confidential Information to any third party except as required by law; (c) implement and maintain reasonable administrative, technical and physical safeguards to protect Confidential Information; and (d) upon termination of access, return or certify destruction of all Confidential Information within the Authorized User's control. Confidentiality obligations shall survive termination for a period of years.

The Authorized User represents and warrants that they will: (i) comply with Company Name policies governing acceptable use, security, and data handling; (ii) not attempt to bypass license controls or access unauthorized modules; (iii) promptly report any suspected compromise or unauthorized access; and (iv) comply with all applicable laws and regulations in the use of the software.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles.

Entire Agreement
