SOLAR ENERGY CONTRACT

This Solar Energy Contract (the Agreement) is entered into effective as of (Effective Date), by and between:

WHEREAS

WHEREAS, Client owns or controls the real property located at (Project Site) and desires installation of a solar photovoltaic energy system; and

WHEREAS, Contractor is duly qualified and licensed to design, supply, install and commission photovoltaic systems and has represented that Contractor will furnish labor, materials, equipment and services required to perform the Work described herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will provide such services and Client will compensate Contractor.

DEFINITIONS

Capitalized terms used in this Agreement have the following meanings: "Work" means all design, procurement, permitting, installation, commissioning, and related services required for the Solar Photovoltaic System; "Acceptance" means completion of testing and commissioning in accordance with the Acceptance Criteria set forth in this Agreement.

SCOPE OF WORK

Contractor shall perform the Work at the Project Site consisting of design, supply, installation, testing and commissioning of a solar photovoltaic energy system with the general specification set forth below and the detailed scope described in the following field:

PERMITS, INSPECTIONS AND COMPLIANCE

Contractor shall obtain, at Contractor's expense, all permits and approvals required to perform the Work except as expressly stated otherwise. Contractor shall perform the Work in accordance with applicable codes and regulations and shall coordinate inspections required for Acceptance.

PAYMENT TERMS

Total Contract Price:

Deposit on Execution: payable upon execution of this Agreement.

Late Payment: Any amounts not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law and Client shall be responsible for reasonable collection costs, including attorney fees.

Contractor shall use commercially reasonable efforts to meet the schedule but shall not be liable for delays caused by force majeure events, permitting delays, utility delays, or acts of third parties beyond Contractor's control.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice. Upon termination, Client shall pay Contractor for Work performed and materials ordered up to the date of termination.

WARRANTIES AND LIMITATIONS

Contractor warrants that the installed equipment will be free from defects in materials and workmanship for a period of years from the date of Acceptance, except for manufacturer warranties which shall be passed through to Client to the extent assignable. Except as expressly set forth herein, Contractor disclaims all other warranties, express or implied.

INSURANCE AND INDEMNIFICATION

Contractor shall maintain commercial general liability insurance and workers' compensation insurance in amounts sufficient for the Work. Contractor shall indemnify, defend and hold harmless Client from claims arising from Contractor's negligence or willful misconduct in performing the Work, except to the extent caused by Client's negligence.

CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party the other party's confidential business information obtained in connection with this Agreement, except as required by law or to perform this Agreement. Confidential information shall not include information that is publicly known or rightfully received from a third party without restriction.

ACCEPTANCE AND COMMISSIONING

Contractor shall conduct commissioning and system performance testing in accordance with industry standards. Acceptance shall be evidenced by a written acceptance certificate signed by both parties following successful completion of tests demonstrating that the System operates in accordance with the Acceptance Criteria.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of . The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with commonly accepted arbitration procedures, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, including all attachments and documents incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.
