SOLAR INSTALLATION AGREEMENT

This Solar Installation Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Client owns or controls the real property located at (the Site), and desires the design, supply, installation and commissioning of a photovoltaic solar energy system; and

WHEREAS, Contractor is duly licensed and experienced in the design and installation of residential and commercial solar energy systems and agrees to perform the work under the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

1. SCOPE OF WORK

Contractor shall design, procure, install, interconnect and commission a photovoltaic solar electric system at the Site in accordance with the specifications, drawings and performance criteria described below. Contractor shall perform all installations in a professional and workmanlike manner, consistent with industry standards, applicable building and electrical codes, and manufacturer installation instructions.

2. PAYMENT TERMS

Total Contract Price: $ (the Contract Price), which covers labor, materials, equipment, standard commissioning, and applicable sales taxes unless otherwise stated.

Final payment is due upon completion of installation and successful commissioning, subject to Client's reasonable inspection and acceptance. Contractor shall furnish lien releases for subcontractors and suppliers upon final payment.

Late Payment: Amounts not paid within days after invoicing shall incur interest at per month (or the maximum permitted by law), plus all costs of collection, including reasonable attorneys' fees.

3. PERMITS, INSPECTIONS AND UTILITIES

Contractor shall be responsible for obtaining all necessary permits, approvals and inspections from authorities having jurisdiction unless the parties agree otherwise in writing. Client grants Contractor limited access to the Site for purposes of obtaining permits, performing work and scheduling inspections.

4. TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until Completion Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Client may terminate for convenience upon days' prior written notice; in such event Contractor shall be paid for work performed and materials purchased to date, including reasonable demobilization costs.

5. CONFIDENTIALITY

Each party shall keep confidential all non-public business, technical and financial information disclosed by the other party and marked or otherwise identified as confidential, or that a reasonable person would understand to be confidential. Confidential information does not include information that (i) is or becomes generally known to the public through no fault of the receiving party, (ii) is lawfully received from a third party without restriction, or (iii) is independently developed without use of the disclosing party's confidential information. A party may disclose confidential information as required by law provided it gives prior notice to the disclosing party where legally permissible.

6. WARRANTIES AND LIMITATIONS

Contractor warrants that all workmanship will be performed in a professional manner for a period of months from completion. Equipment is warranted according to the manufacturers' published warranties. Contractor shall, at its option, repair or replace defective workmanship subject to reasonable notice from Client. EXCEPT AS EXPRESSLY STATED, CONTRACTOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

LIMITATION OF LIABILITY: Except for willful misconduct or gross negligence, Contractor's aggregate liability to Client for any claim arising out of or relating to this Agreement shall not exceed the Contract Price paid by Client under this Agreement. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES.

7. INSURANCE AND INDEMNITY

Contractor shall maintain commercial general liability and workers' compensation insurance in amounts customary for contractors performing similar work. Contractor shall indemnify and hold Client harmless from any third-party claims arising from Contractor's negligence or willful misconduct in the performance of the Work, except to the extent caused by Client's negligence.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

9. ENTIRE AGREEMENT

This Agreement, together with any exhibits, attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.

10. ADDITIONAL PROVISIONS

Client acknowledges that Contractor's access to the Site may require temporary removal or relocation of personal property, and that Contractor shall take reasonable precautions to protect Client property. Client will notify Contractor of any known hidden conditions or hazardous materials on the Site prior to commencement.
