What a Solar Project Agreement Is and why it matters

The Solar Project Agreement is a legally binding contract that sets terms between a project owner and a developer, contractor, or EPC (engineering, procurement, construction) firm for design, procurement, installation, commissioning, and handover of a solar energy system. It defines scope of work, technical specifications, performance warranties, payment schedule, timelines, responsibilities for permits and interconnection, change order procedures, risk allocation, insurance, acceptance testing, and operation and maintenance obligations. The agreement also addresses secure data exchange, record retention, dispute resolution, and required signatures.

Why a clear agreement reduces risk and supports finance

Use a Solar Project Agreement to allocate technical and commercial risk, create clear payment and milestone schedules, ensure compliance with permitting and interconnection requirements, and establish acceptance criteria and warranty obligations that reduce disputes and support financing, insurance, and long-term asset management.

Why a clear agreement reduces risk and supports finance

Who prepares and signs a Solar Project Agreement

Typical parties include project owners, independent developers, EPC contractors, installers, utilities, and financing lenders who manage project risk.

  • Commercial and community solar developers managing multiple site contracts and financing requirements.
  • EPC contractors responsible for engineering, procurement, installation schedules, and testing.
  • Owners and asset managers tracking warranties, O&M obligations, and revenue expectations.

The agreement protects each party by defining deliverables, timelines, remedies, and signature authorities before work, permitting, interconnection, or financing begins.

Core sections to include in a professional Solar Project Agreement

Core sections in a Solar Project Agreement establish scope, technical specs, payment terms, schedules, warranties, risk allocation, insurance, and acceptance testing procedures.

Scope of Work

Describe system size, equipment lists, interconnection point, deliverables, milestones, and exclusions. Include site maps, one-line diagrams, owner-provided equipment, site access constraints, and photos.

Technical Specs

Specify module, inverter, racking, and balance-of-system standards; performance testing protocols; ambient condition assumptions; commissioning criteria; with measurement methods and reporting frequency.

Payment Terms

Detail payment milestones tied to design approval, procurement, delivery, installation, commissioning, and final acceptance; include retainage, milestone percentages, invoicing procedures, and late payment interest.

Warranties

State manufacturer and contractor warranties, duration, remedies, performance guarantees, and procedures for repair or replacement; require proof of manufacturer coverage and assignment where applicable.

Risk & Insurance

Allocate risk for delays, force majeure, defective equipment, and third-party claims; specify insurance types and limits, additional insured endorsements, and bond or performance security requirements.

Acceptance Testing

Define commissioning tests, performance measurement period, data logging standards, cure periods for underperformance, and final acceptance criteria tied to guaranteed output and commissioning reports signed by both parties.

Step-by-step: executing a Solar Project Agreement

Follow these sequential steps to complete and execute a Solar Project Agreement, reducing errors and ensuring enforceability.

  • 01
Draft: Assemble scope, specs, and exhibits.
  • 02
Review: Legal, technical, and finance teams review terms.
  • 03
Negotiate: Agree changes to milestones, liability, and payments.
  • 04
Sign: Execute, notarize if required, and distribute copies.

Typical workflow from draft to archived agreement

Typical transaction flow shows document preparation, routing, electronic signing, and post-execution delivery for commissioning and financing.

  • Prepare Doc: Upload template and attach exhibits.
  • Assign Fields: Place signature, date, and data fields.
  • Authenticate: Use email, SMS, or ID verification.
  • Archive: Save executed PDF and audit trail.

Configuring an online signing workflow for this agreement

Configure the online workflow to collect signatures, authenticate signers, and automate routing for Solar Project Agreements.

Platform requirements for secure eSigning and recordkeeping

Ensure your signing platform supports PDF, DOCX, secure storage, and audit trails for compliance and financing.

  • Formats: PDF, DOCX, and XLSX supported
  • Integrations: Connectors for NetSuite and Salesforce
  • Security: TLS 1.2/1.3, AES-256 at rest

Required information to include in the agreement

Parties: Owner and contractor legal names
Project Address: Site street, city, state, ZIP
Scope Summary: MW capacity and equipment list
Effective Date: Effective date in MM/DD/YYYY format
Payment Schedule: Milestone dates with amounts
Signatures: Printed name, title, date

Common preparation mistakes to avoid

  • Vague scope descriptions that omit equipment lists, interconnection point, or site constraints, leading to disputes over change orders, delays, and increased costs.
  • Unclear payment milestones or undefined retainage percentages causing cash flow interruptions, litigation risk, and potential project stoppage when invoices are disputed.
  • Insufficient warranty language or lack of assignment of manufacturer warranties, leaving owners without remedy for failed components and long-term performance shortfalls.
  • Failure to align interconnection or permitting responsibilities between parties, resulting in missed utility deadlines, queue position loss, or denial of certification.

Consequences of errors or missing information

Payment Delay: Liquidated damages or interest
Contract Termination: Early termination fees
Regulatory Noncompliance: Permitting fines, project halt
Tax Reporting: Backup withholding risk
Warranty Claims: Repair or replacement costs
Performance Shortfall: Reduced revenue, penalties

Typical timelines and milestone expectations

Key deadlines in a Solar Project Agreement include design approvals, permit submissions, interconnection, commissioning, and acceptance testing milestones.

Design Approval Deadline:

Milestone for design sign-off; typical window is 30 to 60 days.

Permit Submission Date:

Owner or contractor files permits by this date to avoid delays.

Interconnection Application:

Submit to utility; timelines vary by utility and queue position.

Commissioning Window:

Testing period to verify performance and reach acceptance metrics.

Final Acceptance:

Occurs after cure periods and successful performance testing.
