What a Solar Purchase Agreement Is and when it's used

A Solar Purchase Agreement is a legally binding contract used when a buyer purchases a solar energy system or entire system output from a seller or installer. It sets the terms for purchase price or payment schedule, equipment and installation responsibilities, performance and warranty obligations, interconnection and permitting, acceptance testing, and transfer of title. The agreement often includes timelines for installation, inspection criteria, risk allocation during construction, and remedies for breach. Parties commonly use this document for residential, commercial, and community solar projects to document rights and responsibilities over the system lifecycle.

Why the Solar Purchase Agreement matters

The agreement creates certainty about costs, ownership, warranties, and long‑term performance expectations. It reduces disputes by detailing installation scope, operations, maintenance, and allocation of incentives or credits while clarifying remedies for nonperformance.

Why the Solar Purchase Agreement matters

Who typically completes a Solar Purchase Agreement

Stakeholders on both sides use this agreement to document the purchase, financing, and operational terms before installation begins.

  • Homeowners and small business owners evaluating system ownership and local incentives.
  • Solar installers and EPC contractors documenting scope, price, and warranty obligations.
  • Financial parties or lenders confirming security interests, assignment rights, and payment schedules.

Clear role definition in the agreement speeds procurement, eases permitting, and supports financing or tax-credit claims.

Core sections to include in a professional Solar Purchase Agreement

A complete agreement covers commercial terms, technical scope, risk allocation, performance commitments, transfer and title, and compliance items. Each section should be written clearly to link responsibilities to measurable deliverables and timelines.

Commercial Terms

Price, payment schedule, late fees, applicable taxes, and any incentives or rebates and the party responsible for claiming them.

Scope of Work

Detailed equipment list, single-line drawings, site work, interconnection tasks, and acceptance testing criteria.

Warranties & O&M

Manufacturer and installer warranties, service level expectations, ongoing operations and maintenance responsibilities.

Performance Guarantees

Production guarantees or performance bands, measurement approach, and remedies for underperformance.

Risk & Title

When title passes, insurance during installation and operation, and allocation of liability for damage or theft.

Permits & Interconnection

Party responsibilities for permits, fees, utility interconnection, and meter upgrades or net metering arrangements.

Essential information to capture for compliance and recordkeeping

Party IDs: Owner and seller legal names
Site Details: Physical address and parcel ID
Equipment List: Modules, inverters, and serial numbers
Financial Terms: Price, schedule, and financing source
Warranty Dates: Start and end dates
Permits: Permit numbers and issuing authority

Step-by-step process for completing the Solar Purchase Agreement

Use this sequence to prepare, review, and finalize the agreement with minimal rework and clear approvals.

  • 01
Prepare: Gather site surveys, equipment quotes, and interconnection requirements.
  • 02
Draft: Populate key fields, attach exhibits, and state performance metrics.
  • 03
Review: Have legal, finance, and operations review terms before signature.
  • 04
Execute: Obtain authorized signatures, notarization if required, and distribute executed copies.

How to build an online review and signing workflow

Configure the digital workflow so each stakeholder receives the correct documents and signing order with attachments and conditional fields.

Field Configuration
Signers Sequence signers in role order (owner → installer → lender)
Authentication Use email + SMS code or stronger KBA for lender sign-off
Conditional Fields Show financing terms only if third‑party financing selected
Audit Trail Record IP, timestamp, and actions for each signer

Where to send completed agreements and who receives copies

Routing depends on financing and permitting: keep copies with owner, installer, lender, and local permitting authority when required.

  • Owner Copy: Owner retains original for tax and warranty records
  • Installer Copy: Installer keeps copy for O&M and warranty claims
  • Lender / Funder: Lender receives executed security documents and exhibits
  • Permitting Office: Submit permit application attachments as required

Digital distribution channels and file formats

Choose distribution and file formats that preserve signatures, audit trails, and attachments.

  • Supported Formats: PDF, DOCX, and secure HTML retain field data and signatures
  • Integrations: Use CRM and cloud storage integrations for automated routing
  • Authentication: Enable SMS, email code, or identity verification for higher assurance

Ensure chosen platform produces a tamper-evident signed file with an audit trail that meets ESIGN and UETA evidentiary needs.

Key timelines, deadlines, and processing expectations

Track dates tied to installation, interconnection, warranty activation, and incentive claims for a timely project closeout.

Installation Start:

Agreed start date per schedule in the agreement

Commissioning:

Completion and acceptance testing date

Interconnection Application:

File per utility deadlines to avoid queue delays

Warranty Start:

Effective on commissioning or meter acceptance

Incentive Claims:

Claims must meet program deadlines and documentary requirements

Common mistakes to avoid when preparing the agreement

  • Vague scope of work that omits equipment or site prep details
  • Missing or mismatched legal names for parties and entities
  • No performance metrics or ambiguous production guarantees
  • Failure to allocate responsibility for permits and interconnection

Primary legal and financial risks of an incorrect agreement

Financing Delay: Incorrect terms may void lender approval
Warranty Loss: Improper acceptance dates can shorten warranty coverage
Incentive Forfeiture: Missing documentation may disqualify credits
Interconnection Hold: Incorrect utility info delays grid connection
Liability Exposure: Unallocated risk increases insurance disputes
Title Confusion: Ambiguous transfer clauses complicate resale

Who is authorized to sign a Solar Purchase Agreement

Owner/Buyer

An authorized individual (for individuals) or an officer/authorized signatory (for entities) should sign. Verify authority by corporate resolution or power of attorney when an entity signs; mismatches may invalidate transfer or financing.

Seller/Installer

An authorized company officer or designated project manager should sign for the installer. If signing binds warranties or indemnities, confirm signer has authority to bind the corporate entity and include printed name and title.

Practical scenarios where a Solar Purchase Agreement is used

Two common scenarios illustrate how the agreement protects parties and structures obligations across project phases.

Residential Purchase

A homeowner selects equipment and a fixed-price installation

  • The agreement defines acceptance tests and warranty start dates
  • Clear acceptance criteria and payment schedule prevented a dispute over roof repairs and ensured warranty coverage remained enforceable.

Commercial System Sale

A commercial property owner purchases a rooftop system with third-party financing

  • The contract explicitly assigns operation responsibilities and lender notice rights
  • Lender-required exhibits and assignment language enabled financing without re-drafting core commercial terms.
