What a Sole Source Provider Agreement Is

A Sole Source Provider Agreement documents a procurement decision to contract with a single vendor without competitive bidding when only one supplier can reasonably provide the required goods or services. The agreement describes scope, pricing, performance expectations, term, and the justification for a sole-source award. It is used by public and private purchasers to record approvals, disclosures, and contract terms that support auditability and later review.

Why organizations use a Sole Source Provider Agreement

A clear sole source agreement centralizes the justification and terms for a direct award, reduces ambiguity about deliverables and pricing, and provides an audit trail for procurement oversight and regulatory review.

Why organizations use a Sole Source Provider Agreement

Typical users and stakeholders

Procurement, contract managers, program leads, and compliance officers prepare or approve these agreements to document noncompetitive procurements.

  • Procurement teams and contract managers responsible for vendor selection and award documentation.
  • Program or technical leads who certify sole-source necessity and define deliverables and acceptance criteria.
  • Legal, compliance, or audit personnel who review justification, conflict-of-interest disclosures, and approval chains.

Key elements to include in the agreement

A professional Sole Source Provider Agreement combines justification, scope, payment, performance metrics, duration, and approval signatures to make the award defensible and enforceable.

Sole-source justification

Detailed reason why only one supplier can meet requirements, history of market research, and any technical exclusivity or proprietary constraints.

Scope of work

Precise description of goods or services, deliverables, acceptance tests, milestones, and any deliverable formats or standards required by the purchaser.

Price and payment

Firm price or pricing formula, payment schedule, invoicing requirements, and conditions for withholding or progress payments.

Term and termination

Effective and end dates, renewal options, termination for convenience and default, and transition assistance obligations.

Approvals and signatures

Names, titles, and signature blocks for the contracting officer and approvers, plus dated approvals and any delegated authority references.

Compliance and remedies

Representations, warranties, indemnities, audit access, dispute resolution, and remedies for nonperformance or misrepresentation.

Step-by-step: completing a Sole Source Provider Agreement

Follow these steps to prepare, approve, and execute the agreement with a clear trail of evidence.

  • 01
Prepare draft: Populate scope, pricing, term, and sole-source rationale.
  • 02
Collect approvals: Route to program, procurement, legal, and finance for sign-off.
  • 03
Execute signatures: Obtain authorized signatures and record dates.
  • 04
Archive documentation: Store executed agreement and supporting market research for audit.

Typical digital workflow settings for online completion

Configure your e-procurement or eSignature workflow to mirror the approval chain and preserve an audit trail.

Field Configuration
Signer Order Sequential routing: Program → Procurement → Legal → Finance
Authentication Email + optional SMS MFA for approvers
Required Documents Attach W-9, conflict disclosures, market search record
Audit Trail Enable timestamps, IP capture, and completed document certificate

How electronic completion and routing typically works

A clear eSignature workflow reduces turnaround and preserves evidence of intent, consent, and attribution required by law.

  • Upload document: Add the agreement and exhibits to the signing platform
  • Place fields: Insert signature, date, and initial fields as required
  • Add signers: Enter signer names, emails, and routing order
  • Send and track: Dispatch invites, send reminders, and capture completion log

Digital signature and storage requirements

Ensure the chosen eSignature platform supports legal validity, security, and records retention for procurement files.

  • Authentication: Email, SMS, or stronger MFA for approvers
  • Audit Trail: Timestamp, IP address, and action history
  • File formats: Support for PDF/A, DOCX and secure export

Security and compliance checklist for digital execution

In-transit encryption: TLS 1.2/1.3
At-rest encryption: AES-256
Audit standards: SOC 2 Type II
Healthcare BAA: HIPAA available (BAA required)
Regulated records: 21 CFR Part 11 support
International frameworks: ISO 27001 and GDPR compliance

Common risks and potential penalties

Bid protest: Administrative challenge to award
Contract rescission: Award may be voided
Loss of funding: Sponsors may withhold payments
