What a Solicitor Costs Agreement Is and When It’s Used

A Solicitor Costs Agreement is a written contract between a solicitor (attorney) and a client that sets out how legal costs, disbursements, retainers, billing rates, and cost recovery will be handled. It records who is responsible for fees, whether costs are recoverable from third parties, any success or conditional fees, and how unused retainers are refunded. In U.S. practice these agreements help reduce disputes over billing, clarify scope of work, and may be relied on by courts or arbitrators when awarding costs.

Why a Clear Costs Agreement Matters

A Solicitor Costs Agreement reduces billing disputes, clarifies payment obligations, and documents client consent to fee arrangements and potential cost recovery. Clear terms protect both parties and support enforceability if costs are later litigated or submitted to a tribunal.

Why a Clear Costs Agreement Matters

Who Typically Completes This Agreement

The agreement is used by solicitors, their clients, and organizations that fund or insure legal work.

  • Solicitors and law firms — Formalize retainer amounts, billing rates, disbursements, and client obligations to avoid later fee disputes.
  • Individual or corporate clients — A signed agreement records informed consent to fees and explains refund, billing, and cost-recovery mechanics.
  • Insurers and third-party funders — Used to confirm coverage, subrogation rights, and whether costs can be recouped from opposing parties.

Choose the variant and level of detail appropriate to the client type and the matter's complexity.

Core Elements to Include for a Professional Agreement

A thorough Solicitor Costs Agreement explains payment mechanics, responsibilities for disbursements, billing cadence, and how costs are handled if a third party pays or the matter terminates early.

Retainer Structure

State whether the retainer is refundable or nonrefundable, how it will be applied to invoices, and conditions for replenishment during ongoing work.

Billing Rates

Specify hourly rates or fixed fees for each solicitor or class of work, billing increments, and whether rates may change with notice.

Disbursements

List recoverable expenses (court fees, expert fees, travel) and whether itemized receipts will be provided on request.

Success / Conditional Fees

If a contingency or success fee applies, describe the trigger, calculation method, and interaction with recoverable costs.

Cost Recovery

Explain whether and how costs recovered from opposing parties will be credited to client invoices or used to reimburse the solicitor.

Termination & Refunds

Describe notice required to end representation, how final accounting is calculated, and when refunds of unused retainer are issued.

Common Timing and Payment Deadlines

Key deadlines in a costs agreement govern retainer payment, invoice cycles, client payment terms, and timelines for cost-recovery actions.

Retainer Due Date:

Date retainer is payable before work begins; often immediately on engagement.

Billing Cycle:

Monthly or milestone billing cadence; specify how interim statements are issued.

Invoice Payment Terms:

Typical client payment window is 30 days unless otherwise agreed.

Costs Recovery Filing:

Court or tribunal deadlines vary; file timely claims per procedural rules.

Account Finalization:

Provide final accounting within a specified period after matter closure.

Key Milestones from Engagement to Accounting

Track these milestones to ensure compliance with billing, client notification, and any court-related cost procedures.

01

Agreement Execution

Parties sign and date the agreement to set terms in force.

02

Retainer Receipt

Firm confirms retainer cleared and records payment in billing system.

03

Interim Billing

Issue periodic invoices with itemized disbursements and work logs.

04

Final Accounting

Deliver final statement, reconcile recoveries, and issue any refunds.

Common Mistakes to Avoid When Preparing the Agreement

  • Leaving the retainer status vague — failing to state refundable versus nonrefundable leads to disputes and fee challenges.
  • Omitting itemized disbursement categories — lack of specificity causes client confusion and may impede cost recovery.
  • Failing to state billing increments or rate changes — ambiguous billing units invite disagreements about hours and calculations.
  • Not documenting third-party recoveries — unclear allocation rules can result in double recovery or client dissatisfaction.

Risks and Consequences of an Incorrect Agreement

Fee Dispute: Client litigation risk
Interest Charges: Accrues on late payments
Loss of Recovery: Costs may not be reimbursable
Ethics Complaint: Possible bar investigation
Tax Reporting: Incorrect 1099 treatment
Invalid Signature: Enforceability questions
