SOYBEAN OIL PURCHASE AGREEMENT

This Soybean Oil Purchase Agreement (the "Agreement") is entered into as of Effective Date: by and between Seller Name: and Buyer Name: .

WHEREAS

1. Seller is engaged in the production and sale of refined soybean oil suitable for edible and industrial purposes and represents that it has the capacity and authority to sell the Product described in this Agreement.

2. Buyer desires to purchase from Seller, and Seller desires to sell to Buyer, a specified quantity of refined soybean oil on the terms and conditions set forth in this Agreement.

3. The parties intend that this Agreement govern the sale, delivery, inspection, payment, and related obligations for the Product during the Term.

SCOPE OF WORK

Seller shall sell and deliver, and Buyer shall purchase and accept, the Product described below in accordance with the specifications, quantities, delivery schedule, and inspection procedures set forth in this Agreement and as further detailed in the Scope of Work.

PAYMENT TERMS

Price: Buyer shall pay Seller the Price per metric ton as agreed below. All payments shall be made in the currency specified.

Any undisputed amount not paid when due shall accrue interest at the rate of , calculated monthly, plus reasonable collection costs.

DELIVERY, INSPECTION & TITLE

Delivery Terms: Seller shall deliver Product FOB Seller's refinery (unless otherwise agreed in writing). Title and risk of loss shall pass to Buyer at the FOB point, subject to the parties' right of inspection and rejection under this Agreement.

WARRANTIES; LIMITATION OF LIABILITY

Seller warrants that at delivery the Product will conform to the agreed specifications and be free from material defects in workmanship and title. Except for this express warranty, Seller disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose. Neither party shall be liable to the other for incidental or consequential damages except for liability arising from willful misconduct or gross negligence.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement upon written notice to the other if the other party materially breaches any obligation hereunder and fails to cure such breach within the notice period specified above, or immediately upon insolvency, bankruptcy filing, or appointment of a receiver for the other party.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Agreement, including pricing, technical data, and commercial terms ("Confidential Information"). Confidential Information shall not be disclosed to third parties or used for any purpose other than the performance of this Agreement, except as required by law. This obligation shall survive termination for a period of three (3) years.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform its obligations under this Agreement caused by events beyond its reasonable control, including acts of God, war, terrorism, labor disputes, acts or omissions of governmental authorities, natural disasters, or interruptions in transport or supply chains. The affected party shall provide prompt written notice and make commercially reasonable efforts to mitigate the effect of such event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of laws principles. Venue for any dispute shall lie in the courts of that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any schedules or appendices expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Any waiver of any provision of this Agreement must be in writing and signed by the waiving party. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
