What a SPA Agreement Draft Is and When It’s Used

A SPA Agreement Draft (Share Purchase Agreement draft) is a preparatory contract that records the proposed terms for the sale and purchase of company shares. It sets out the parties, purchase price, payment mechanics, representations and warranties, conditions to closing, covenants, indemnities, and closing mechanics. Draft versions are used during negotiation to document agreed points, track outstanding issues, and create an executable final agreement. Well-prepared drafts reduce ambiguity at closing, support due diligence, and form the basis for definitive signing and any required regulatory filings.

Why a Clear SPA Draft Matters

A clear SPA Agreement Draft helps allocate risk, set precise closing conditions, and document price mechanics and post-closing obligations. Clarity in the draft reduces negotiation cycles and limits later disputes over interpretation or missing terms.

Why a Clear SPA Draft Matters

Who Typically Prepares and Reviews a SPA Draft

Multiple stakeholders participate in preparing and approving a SPA Agreement Draft during a transaction.

  • Acquirers and buyers: internal deal teams and corporate development groups reviewing price, covenants, and closing conditions.
  • Sellers and founders: business owners, boards, and CFOs verifying consideration, escrow, and indemnity provisions.
  • Legal and tax advisors: external counsel and tax counsel validating representations, covenants, and regulatory compliance.

The draft should be circulated with clear reviewer instructions and version control to avoid conflicting edits during negotiations.

Essential Sections to Include in a Professional SPA Draft

A robust SPA Agreement Draft organizes the transaction into clear, negotiable sections so parties can focus on material deal points without missing implementation details.

Parties

Identify buyer(s) and seller(s) with full legal names, entity types, jurisdictions of organization, and applicable contact details for notices and closing logistics.

Purchase Consideration

Specify total purchase price, allocation between cash and other instruments, escrow or holdback amounts, and timing or mechanism for any earnout payments.

Representations

List seller and buyer warranties on capitalization, authority, financial statements, liabilities, tax status, and compliance; include survival periods and materiality qualifiers.

Closing Conditions

Define conditions precedent such as regulatory approvals, third-party consents, clearances, and delivery of closing deliverables to be satisfied or waived prior to transfer.

Covenants

Include interim covenants (conduct of business), post-closing covenants, non-compete/non-solicit clauses if applicable, and obligations for delivering transitional support.

Indemnities

Detail indemnity triggers, caps, baskets, survival periods, dispute resolution, and procedures for claims and defense of third-party claims.

Step-by-Step: Preparing and Executing the SPA Draft

Follow these sequential steps to move a SPA Agreement Draft from negotiation to executed document with minimized operational risk.

  • 01
Draft Preparation: Assemble standard template and populate transaction-specific data.
  • 02
Internal Review: Legal, tax, and finance teams review and flag issues.
  • 03
Negotiation: Exchange redlines and agree on final language.
  • 04
Execution: Obtain authorized signatures and deliver closing items.

How the Draft Moves from Draft to Signed Agreement

A typical document lifecycle for a SPA Agreement Draft includes drafting, review, signing, and archival with clear handoffs at each stage.

  • Upload: Place the draft into a secure document workspace.
  • Tag Fields: Mark signature, initial, and date fields clearly.
  • Route to Signers: Send in the agreed signing order with authentication.
  • Finalize: Capture audit trail and distribute executed copies.

Recommended Digital Workflow Settings for the SPA Draft

Configure your signing workflow to match deal mechanics, authentication requirements, and document custody responsibilities.

Field Configuration
Signer Order Sequential or parallel routing depending on escrow and lender conditions.
Authentication Use email plus SMS or KBA for high-assurance signatures.
Automatic Reminders Enable reminder cadence to reduce execution delays.
Attachments Require supporting certifications, board minutes, and officer certificates as uploads.

Technical Considerations for Electronic Execution

Choose a platform that supports audit trails, secure storage, and required authentication methods for transactional documents.

  • File Formats: PDF and Word DOCX supported
  • Authentication: Email, SMS, KBA, SSO
  • Integrations: CRM and cloud storage connectors

Confirm the platform complies with ESIGN and UETA, supports record export, and can provide an unalterable audit trail for closing files.

Common eSignature Pricing and Feature Comparison for Executing a SPA

Small transaction teams commonly compare monthly per-user pricing, bulk send, HIPAA support, and envelope or invite limits when selecting an eSignature provider.

Practical Tips to Reduce Execution Risk in SPA Drafts

Adopt these drafting and execution habits to prevent common closing delays and preserve legal remedies.

Use a Single Source of Truth
Keep one active draft and track changes with versioning. Circulate PDF renditions after each agreed markup to avoid conflicting redlines and to document negotiation history for counsel and boards.
Be Specific About Deliverables
List required closing deliverables with responsible parties and acceptable formats. Vague lists create disputes about whether conditions were satisfied and can delay funding or transfer.
Limit Manual Data Entry
Where possible use templates, auto-populated fields, and validation rules to prevent typographical errors in names, amounts, or dates that can cause downstream administrative rejection.
Confirm Signature Authority
Require a brief power of attorney or officer certificate where signatory authority is not evident to the counterparty; lack of clear authority risks unenforceability.

Principal Risks and Legal Consequences

Breach Liability: Damages and specific performance risks
Indemnity Exposure: Significant post-closing financial obligations
Regulatory Penalties: Antitrust or securities fines possible
Tax Adjustments: IRS reclassifications can trigger assessments
Execution Defects: Invalid signatures may void transfer
Confidentiality Breach: Remedies for unauthorized disclosures

Common Drafting and Execution Mistakes to Avoid

  • Leaving seller warranties vague or unqualified, which can produce open-ended indemnity risk and protracted disputes during claim resolution.
  • Failing to tie purchase price mechanics to a clear closing statement, resulting in disagreements about working capital adjustments or earnout calculations.
  • Neglecting to list exact closing deliverables and their formats, which can allow counterparty delay or tactical withholding of documents.
  • Using inconsistent party names or abbreviations across schedules and exhibits, complicating registration, title transfer, and post-closing enforcement.
