What the SPA Agreement Template Is

The SPA Agreement Template (Share Purchase Agreement) is a reusable legal form that records the sale and transfer of equity in a U.S. company. It sets out purchase price mechanics, representations and warranties, closing conditions, escrow terms, indemnities, and post-closing obligations. The template includes placeholders for parties, schedules, and exhibits so negotiators can add deal-specific terms. Use it for stock purchases, investor exits, and member buyouts; legal review is advisable to address state corporate and securities requirements and to ensure enforceability.

Why Use a Standardized SPA Template

A standardized SPA Agreement Template shortens drafting time, clarifies allocation of risk between buyer and seller, and produces consistent closing mechanics. It helps ensure essential schedules and deliverables are included and reduces negotiation friction while remaining adaptable to transaction-specific terms and jurisdictional differences.

Why Use a Standardized SPA Template

Who Typically Prepares and Signs an SPA

Typical users include corporate counsel, buyers and sellers, private equity professionals, and in-house legal teams preparing equity transfer documents.

  • Private companies negotiating share transfers or member buyouts seeking standard clause sets and closing checklists.
  • Buyers and investors assessing representations, warranties, indemnities, and escrow arrangements before closing.
  • Advisors preparing redlines, schedules, disclosure letters, and integration timelines for post-closing obligations.

Tailor the template to the transaction size and jurisdiction, and confirm whether securities filings or shareholder consents are required before closing.

Key Signer Profiles

Seller Representative

Often the founder, CEO, or general counsel who confirms corporate authority, provides disclosure schedules, and signs closing deliverables. They coordinate shareholder approvals, confirm board resolutions, and ensure transfer restrictions or preemptive rights are cleared before closing to avoid post-closing disputes.

Buyer Representative

Typically a buyer’s in-house counsel, transaction lawyer, or private equity associate responsible for due diligence, negotiating price adjustments, arranging escrow and indemnity mechanics, and coordinating regulatory filings or third-party consents required to effect the share transfer at closing.

Required Core Information

Parties' Names: Full legal names for each party
Effective Date: Enter as MM/DD/YYYY
Purchase Price: Specify amount and payment terms
Shares Description: Number, class, and certificates
Escrow Terms: Amount, agent, release conditions
Signatures: Signed and dated by authorized reps

Key Risks If the SPA Is Incorrect

Breach Liability: Costly indemnities and litigation
Securities Violations: Unfiled disclosures risk enforcement
Tax Consequences: Unanticipated tax liabilities
Transfer Restrictions: Buyback or right-of-first-refusal triggers
Escrow Disputes: Delayed release and arbitration
Invalid Signatures: Improper authorization voids transfer

Common Preparation Mistakes

  • Leaving disclosure schedules incomplete or outdated, which can trigger broad indemnity claims, delay closing, and expose sellers to unexpected liability post-closing.
  • Using generic representations without tailoring them to the company’s corporate form or jurisdiction, creating gaps in warranties and leaving compliance issues unaddressed.
  • Mixing asset-sale and share-sale language, which can confuse tax treatment, transfer mechanics, and buyer protections if the structure is not consistent.
  • Neglecting clear escrow mechanics and dispute resolution terms, causing prolonged retention of funds and costly arbitration or litigation following a claim.

Step-by-Step: Complete the SPA Template

Follow this sequential completion checklist to prepare, review, and finalize the SPA Agreement Template for execution and closing.

  • 01
Identify Parties: Enter full legal names, corporate status, and principal addresses.
  • 02
Set Price: Specify purchase price, adjustments, and payment schedule.
  • 03
Attach Schedules: Upload disclosure schedules and exhibits referenced in the agreement.
  • 04
Sign & Close: Confirm signing authority, execute, and exchange closing deliverables.

Where to Send and Submit the Executed SPA

Routing and delivery vary by transaction: share certificates, stock ledgers, escrow instructions, and filings with transfer agents must be coordinated at closing.

  • To Counsel: Send fully executed PDF and redline history.
  • To Escrow: Provide escrow instructions and funding confirmation.
  • To Transfer Agent: Deliver executed share transfer documentation and stock powers.
  • Regulatory Filings: File required securities notices or state filings if applicable.

Essential Clauses in a Professional SPA

Core sections in a professional SPA clarify economic terms, allocate risk, set closing mechanics, and include schedules needed to support enforceability and post-closing remedies.

Purchase Price

Defines base consideration, adjustment mechanisms for net working capital or indebtedness, any escrow holdback, and payment timing including cash, promissory notes, or equity consideration where applicable.

Reps & Warranties

Detailed seller and buyer representations about authority, capitalization, tax status, compliance, contracts, and absence of undisclosed liabilities; survival periods govern post-closing claims.

Indemnities

Allocates responsibility for breaches, specifies indemnity caps, baskets, survival periods, and procedures for notice, defense, settlement, and claim resolution to manage post-closing financial and operational risk exposure.

Closing Conditions

Lists required deliverables, third-party consents, officer certificates, and regulatory clearances that must be satisfied or waived before transferring shares and funds at closing.

Escrow & Security

Describes escrow account terms, release schedule, escrow agent duties, security interests if any, and dispute resolution for withheld amounts or indemnity claims.

Schedules & Exhibits

Include capitalization table, list of material contracts, employee information, IP assignments, permits, and any items that materially affect valuation or liability allocation.

Recommended Online Workflow Settings

Configure the online workflow so signatures, authentication, and notifications follow the agreed closing sequence and compliance needs.

Field Configuration
Signature Order Sequential between buyer, seller, then escrow agent.
Authentication Use email plus SMS code or stronger KBA for high-risk deals.
Conditional Fields Show price adjustment fields only if earnout checked.

Choose a digital platform that supports PDF, DOCX, audit trails, and secure signer authentication for SPA execution.

  • Supported Formats: PDF, DOCX, HTML accepted
  • Authentication Options: Email, SMS, KBA, SSO
  • Integrations: Salesforce, NetSuite, Google Workspace, Box
