Tenant shall not use the space for purposes other than stated above without prior written consent of Landlord, and shall comply with all applicable laws, zoning requirements, and reasonable rules provided by Landlord.

Financial Terms

Rent is due on the day of each month. Payments shall be made to Landlord at the address designated in this Agreement or by other method agreed in writing.

Late Fee: If rent is not received within days after due date, Tenant shall pay a late fee of or of overdue amount, whichever is greater.

Security deposit will be held for performance of Tenant's obligations and returned within days after termination, less deductions for unpaid rent, repairs beyond normal wear and tear, and cleaning.

Alterations, Signs, and Subletting

Subletting or assignment is prohibited without prior written consent of Landlord, which shall not be unreasonably withheld where Tenant demonstrates financial responsibility and compatibility of use.

Insurance and Indemnity

Tenant shall maintain commercial general liability insurance with limits no less than per occurrence, and name Landlord as additional insured where required. Proof of insurance must be delivered to Landlord prior to occupancy.

Tenant shall indemnify, defend and hold harmless Landlord from any claims arising out of Tenant's use or occupancy, except to the extent caused by Landlord's gross negligence or willful misconduct.

Default, Remedies and Termination

Upon Tenant default, Landlord may terminate this Agreement, recover possession, recover unpaid rent and damages, and exercise any other remedies available at law or equity after providing any notice required by statute or this Agreement.

Tenant shall have the right to cure monetary defaults within any statutory cure period and non-monetary defaults within a commercially reasonable cure period if commenced and pursued in good faith.

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises are located. This Agreement, including any exhibits and written amendments, constitutes the entire agreement between the parties and supersedes all prior negotiations and representations, whether written or oral.
