SPACE SUPERVISOR AGREEMENT

THIS SPACE SUPERVISOR AGREEMENT (the Agreement) is entered into effective as of (Effective Date), by and between Facility Owner: and Supervisor: .

WHEREAS

WHEREAS, Facility Owner operates and controls the premises and common areas described as: (Premises); and

WHEREAS, Supervisor represents that the Supervisor has the skills, experience, personnel and capacity to supervise the use, maintenance and scheduling of the Premises and to perform related management services; and

WHEREAS, the parties desire to set forth the terms by which Supervisor will provide supervision and related services at the Premises on the terms and conditions set forth in this Agreement.

1. SCOPE OF WORK

Supervisor shall perform the supervision, oversight, coordination and administrative functions described below, and any additional duties the parties agree to in writing (Services).

2. PAYMENT TERMS

As full compensation for the Services, Facility Owner shall pay Supervisor in accordance with the following terms.

Any undisputed payment not paid within days after the due date shall incur a late fee equal to on the outstanding balance, plus reasonable collection costs.

3. TERM AND TERMINATION

The Term of this Agreement begins on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the effective termination date.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and the breach is not cured within 15 days after receipt of written notice specifying the breach.

4. CONFIDENTIALITY

Supervisor acknowledges that during the Term Supervisor will receive confidential, proprietary or sensitive information concerning Facility Owner, its tenants, operations and customers ("Confidential Information"). Supervisor shall hold such information in strict confidence and shall not disclose or use it except as necessary to perform the Services under this Agreement. Confidential obligations survive termination for a period of five (5) years, except for trade secrets which shall be protected for as long as they remain trade secrets.

5. INSURANCE, INDEMNITY AND LIABILITY

Supervisor shall maintain at its expense commercial general liability insurance, workers' compensation and any other insurance reasonably required by Facility Owner. Supervisor shall indemnify and hold harmless Facility Owner and its agents from and against claims, losses, damages and liabilities arising out of Supervisor's negligent acts, omissions or willful misconduct in performance of the Services.

6. INDEPENDENT CONTRACTOR

Supervisor is an independent contractor and not an employee, agent or partner of Facility Owner. Supervisor shall be solely responsible for all taxes, withholdings and other statutory obligations arising from compensation paid under this Agreement.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

8. ENTIRE AGREEMENT

This Agreement, including any exhibits or written schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by both parties.

9. NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses set forth below by certified mail, courier or personal delivery, and shall be effective upon receipt.

10. MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy actual or threatened breaches of confidentiality and that injunctive relief may be granted in addition to other remedies.
