SPEAKER AGREEMENT AMENDMENT

This Amendment to the Speaker Agreement (this "Amendment") is made effective as of by and between the parties set forth below.

Recitals

WHEREAS, the parties entered into a Speaker Agreement dated (the "Agreement"); and

WHEREAS, the parties desire to amend certain terms of the Agreement to reflect revised scope, compensation and timing as set forth herein; and

WHEREAS, except as expressly modified by this Amendment, the Agreement remains in full force and effect.

Amendment

In consideration of the mutual covenants contained herein, the parties agree that the Agreement is amended as follows:

Scope of Work

The Speaker shall perform the services described below in accordance with the standards and schedule set forth. Any deviation from the described services requires prior written approval by Presenter.

Payment Terms

Presenter shall pay Speaker the fee set forth below in full compensation for the services described in this Amendment and the Agreement.

Payments shall be made by the method agreed upon by the parties. Invoices not disputed in writing within seven (7) days are deemed accepted and payable within days of invoice.

Term and Termination

The term of this Amendment shall commence on and shall terminate on unless earlier terminated in accordance with this section.

Either party may terminate this Amendment for convenience upon providing written notice to the other party at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice identifying the breach.

Upon termination, Presenter will pay Speaker for all services performed and approved expenses incurred through the effective date of termination. Each party shall return the other party's confidential materials in its possession within ten (10) days of termination.

Confidentiality

Each party acknowledges that in connection with performance under this Amendment it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is identified as confidential or that reasonably should be understood to be confidential. Each party shall: (a) safeguard the other's Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care; (b) not use Confidential Information except to perform its obligations under this Amendment; and (c) not disclose Confidential Information to any third party except as permitted herein.

The obligations in this clause shall survive termination of this Amendment for a period of years, except with respect to trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

Intellectual Property

Unless otherwise expressly agreed in writing, Speaker grants Presenter a non-exclusive, non-transferable license to use any deliverables provided under this Amendment for the purpose contemplated by the Agreement. Speaker represents that any materials provided do not infringe third-party intellectual property rights and agrees to indemnify Presenter for claims arising from any breach of that representation.

Governing Law

This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement; Effect of Amendment

This Amendment, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, negotiations and agreements, whether written or oral, concerning that subject matter. Except as expressly amended by this Amendment, all terms and conditions of the Agreement remain unchanged and in full force and effect.

No amendment or modification to this Amendment shall be effective unless in writing and signed by duly authorized representatives of both parties. This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
