What the Speaker Engagement Member Agreement Is

A Speaker Engagement Member Agreement is a written contract that sets the terms between an organization and a contracted speaker or member acting as a presenter. It defines scope of services, deliverables, schedule, compensation, intellectual property allocation, confidentiality, travel and expense expectations, and termination rights. The agreement provides a clear record of obligations and protections for both parties, reduces misunderstandings, and supports regulatory or tax reporting when payments are made for services.

Why a Clear Speaker Engagement Member Agreement Matters

A concise, well-drafted agreement protects both host organizations and speakers by documenting deliverables, payment terms, and liabilities. It clarifies expectations, reduces litigation risk, and supports compliance with tax, privacy, and venue requirements under applicable law such as ESIGN and UETA.

Why a Clear Speaker Engagement Member Agreement Matters

Who Commonly Uses This Agreement

Typical users include event organizers, associations, conference producers, universities, and independent speakers who need a standard contract for presentations or panel participation.

  • Event producers and associations that run recurring conferences and need consistent terms across many engagements.
  • Universities and continuing education providers arranging guest lectures with payment or expense reimbursement.
  • Independent speakers, consultants, and trainers who require clarity on ownership of slide decks, recordings, and follow-up materials.

Use this agreement to document rights and obligations before services begin and to support expense reporting, honoraria payments, and any necessary tax forms.

Who Can Sign and Represent Parties

Organization Signatory

Authorized officer or event manager with contracting authority should sign for the host organization. Verify internal procurement thresholds and obtain approvals where required to bind the organization.

Speaker Signatory

The individual speaker or an authorized representative (agent or talent manager) should sign. If the speaker is contracting through a business entity, use the entity name and include the signer's title and authority.

Core Parts of a Professional Speaker Engagement Member Agreement

A complete agreement contains specific clauses so both parties know their rights and obligations. Include items below as separate, searchable sections for clarity.

Scope of Services

Describe the session type, length, learning objectives, deliverables (slides, handouts, pre-reads), rehearsal requirements, and any follow-up obligations the speaker will perform.

Compensation

Specify honoraria, travel and lodging reimbursement, invoicing instructions, payment timing, currency, and any tax withholding obligations.

Intellectual Property

State who retains copyrights in presentation materials, whether recordings are permitted, and license terms for reuse by the organizer.

Confidentiality

Include confidentiality or non-disclosure terms if proprietary information will be exchanged or if sessions include private content.

Cancellation and Force Majeure

Define cancellation rights, notice periods, fees for late cancellation, and how force majeure events affect obligations.

Liability and Indemnity

Limit liability broadly, outline insurance requirements where appropriate, and include mutual indemnification clauses to allocate risk.
