SPEAKER SERVICES AGREEMENT

RECITALS

WHEREAS, Client organizes events, conferences or programs and desires to engage the Speaker to provide a presentation, talk, panel participation, workshop, or related services as set forth in this Agreement ("Services"); and

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the parties agree as follows:

1. ENGAGEMENT; SERVICES

1.1 Engagement. Client hereby engages Speaker, and Speaker accepts such engagement, to perform the Services described in Section 1.2 at the event specified below, subject to the terms and conditions of this Agreement.

4. CANCELLATION; FORCE MAJEURE

4.1 Cancellation by Client. If Client cancels the engagement more than days prior to the event, Client shall forfeit the deposit but not be liable for additional fees. If Client cancels within days of the event, Client shall pay a cancellation fee equal to of the Fee.

4.2 Cancellation by Speaker. Speaker may cancel for reasons of illness, emergency, or force majeure. If Speaker cancels, Speaker will use reasonable efforts to provide a qualified substitute acceptable to Client or, at Speaker's option, refund any fees paid.

4.3 Force Majeure. Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, pandemics, government order, strikes, or other events of force majeure. In such event, the parties shall negotiate in good faith to reschedule or terminate with equitable adjustments.

5. RECORDING; INTELLECTUAL PROPERTY

5.1 Ownership. Speaker retains all right, title and interest in and to Speaker's pre-existing materials, presentation materials, slides, and intellectual property used or created in connection with the Services ("Speaker IP"). Client acknowledges that any use of Speaker IP requires Speaker's prior written consent.

5.2 Recording. Recording permitted: . If recording is permitted, Client is granted a limited, non-exclusive, non-transferable license to use the recording for the following purposes:

6. CONFIDENTIALITY

7. INDEPENDENT CONTRACTOR

7.1 Status. Speaker is an independent contractor and not an employee, agent, joint venturer, or partner of Client. Speaker is responsible for all federal, state, and local taxes arising from compensation paid under this Agreement.

8. INSURANCE; INDEMNIFICATION

10. NOTICES

All notices under this Agreement shall be in writing and sent to the addresses below by hand delivery, nationally recognized overnight courier, or certified mail (return receipt requested). Notices are effective upon receipt.

11. MISCELLANEOUS

11.1 Amendments. This Agreement may be amended or modified only by a written instrument signed by both parties.

11.2 Waiver. Failure to enforce a provision shall not constitute a waiver of that provision or of the right to enforce it later.

11.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
