SPEAKERS ENGAGEMENT AGREEMENT

This Speakers Engagement Agreement (the "Agreement") is made as of by and between Speaker Name: (the "Speaker") and Organizer Name: (the "Organizer"). The Speaker and the Organizer are sometimes referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, the Speaker has expertise and reputation in the subject matter set forth in this Agreement and is willing to present at the Event described below; and

WHEREAS, the Organizer produces and promotes events and desires to engage the Speaker to present at an event on the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties intend by this Agreement to set forth their mutual rights and obligations with respect to the Speaker's engagement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. ENGAGEMENT; EVENT DETAILS

1.1 Engagement. The Organizer hereby engages the Speaker to prepare and deliver the presentation described below (the "Presentation") and the Speaker accepts such engagement as an independent contractor on the terms set forth in this Agreement.

2. SPEAKER OBLIGATIONS

2.1 Presentation. The Speaker will prepare and deliver the Presentation on the date and at the location set forth above. The Speaker shall provide original content and shall not knowingly infringe third-party intellectual property rights in the materials used in the Presentation.

2.2 Materials. The Speaker shall, at the Speaker's expense, prepare any slides, handouts, or other materials unless otherwise agreed in writing. The Speaker shall make commercially reasonable efforts to provide any agreed materials to the Organizer no later than days before the Event.

3. COMPENSATION AND PAYMENT

3.1 Fee. In full consideration for the Speaker's services, the Organizer shall pay the Speaker a fee of USD (the "Fee"), subject to the payment schedule set forth below.

3.2 Deposit and Final Payment. A deposit of USD shall be due within days of execution of this Agreement to secure the Speaker's engagement. The remaining balance shall be due no later than days prior to the Event.

4. EXPENSES

4.1 Reimbursable Expenses. The Organizer shall reimburse the Speaker for reasonable, pre-approved travel, lodging, and meal expenses incurred in connection with the engagement, provided that the Speaker furnishes original receipts and complies with any written expense policy provided by the Organizer.

4.2 Expense Cap. Reimbursable expenses shall be subject to a maximum aggregate amount of USD unless otherwise agreed in writing.

5. INTELLECTUAL PROPERTY; RECORDING

5.1 Ownership. The Speaker retains all right, title and interest in and to the Speaker's pre-existing materials and any materials created by the Speaker in performing the Presentation, except that the Speaker grants the Organizer a non-exclusive, non-transferable license to use copies of the Presentation materials solely for internal records and promotion of the Event unless otherwise agreed in writing.

5.2 Recording. Organizer may record the Presentation only if the following box is checked and any recording use is governed by the terms entered below:

6. CONFIDENTIALITY

6.1 Confidential Information. Each Party agrees to hold in confidence and not disclose to any third party any confidential information disclosed by the other Party that is designated as confidential or that a reasonable person would understand to be confidential under the circumstances. Confidential information does not include information that (a) is or becomes generally available to the public other than by a breach of this Agreement, (b) was known to the receiving Party prior to disclosure, or (c) is independently developed by the receiving Party.

7. CANCELLATION; POSTPONEMENT

7.1 Cancellation by Organizer. If the Organizer cancels the engagement more than days prior to the Event, Organizer shall reimburse the Speaker for reasonable non-refundable expenses and any portion of the Fee earned to date. If the Organizer cancels within the specified notice period, the Organizer shall pay a cancellation fee equal to USD or the deposit, whichever is greater.

7.2 Postponement. If the Event is postponed, Parties shall use good faith efforts to reschedule. If rescheduling is not possible within days, either Party may terminate this Agreement in accordance with Section 8.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

8.1 Indemnification. Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, agents and employees from and against any third-party claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's breach of this Agreement, negligence, willful misconduct or infringement of third-party rights.

8.2 Limitation of Liability. Except for liability arising from a Party's willful misconduct or gross negligence or a breach of Section 6 (Confidentiality) or a Party's indemnification obligations, neither Party shall be liable to the other for any incidental, consequential, punitive or special damages. The Parties' aggregate liability under this Agreement shall not exceed the total Fees actually paid to the Speaker under this Agreement.

9. INDEPENDENT CONTRACTOR; TAXES

9.1 Independent Contractor. The Speaker is engaged as an independent contractor. Nothing in this Agreement shall create an employment, agency, partnership or joint venture relationship between the Parties. The Speaker shall be solely responsible for all income, employment, and other taxes applicable to the Speaker's compensation.

10. PUBLICITY

10.1 Promotional Use. The Organizer may list the Speaker's name, biography and photograph in promotional materials for the Event unless the Speaker checks the following box to prohibit such promotional use:

11. FORCE MAJEURE

Neither Party shall be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, government action, war, civil commotion, labor disputes, severe weather or pandemic-related restrictions. The affected Party shall promptly notify the other Party and make reasonable efforts to mitigate the effect of the event.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the following addresses by personal delivery, recognized overnight courier, or electronic mail (receipt confirmed). Notices shall be deemed given on the date of delivery.

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended or modified only by a written instrument executed by both Parties. No failure or delay by either Party in exercising any right under this Agreement shall operate as a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of without regard to principles of conflicts of law. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. MISCELLANEOUS

The Parties acknowledge that they have read and understand this Agreement and that they are authorized to execute this Agreement on behalf of the Party for whom they sign.
