SPECIALTY SERVICE AGREEMENT

This Specialty Service Agreement ("Agreement") is made effective as of by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to retain Provider to perform specialized services described herein and Provider has represented that it possesses the qualifications, experience and abilities to perform such services in accordance with the terms of this Agreement.

Any material change to the Scope of Work shall require written amendment signed by both parties. Provider shall notify Client in writing of any circumstances that may materially affect delivery or timing.

PAYMENT TERMS

Invoices are due in accordance with the Payment Schedule. If any undisputed amount is not paid when due, Client shall pay the Late Payment Fee and interest as specified above. Client may withhold disputed amounts pending resolution but must timely pay undisputed amounts.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach, insolvency, or unlawful conduct by the other party. Upon termination, Provider shall deliver completed work and invoice for all services performed to the termination date; Client shall pay for all undisputed amounts within the invoice terms.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that is (a) already lawfully known to the recipient without restriction, (b) or becomes publicly available through no breach of this Agreement, (c) is rightfully received from a third party free to disclose it, or (d) independently developed without use of the discloser's Confidential Information.

Each party shall: (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure to its employees and contractors on a need-to-know basis who are bound by confidentiality obligations at least as protective as those herein; and (iii) exercise reasonable care to prevent unauthorized disclosure. The obligations of confidentiality shall survive termination for a period of , except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties hereby submit to the exclusive jurisdiction of the courts located within that jurisdiction for resolution of any disputes arising under this Agreement, subject to any agreed-upon alternative dispute resolution in writing.

MISCELLANEOUS

Independent Contractor: Provider is an independent contractor. Nothing in this Agreement shall be construed to create an employment, joint venture, agency or partnership relationship between the parties.

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a sale of substantially all of its assets or stock.

ENTIRE AGREEMENT

This Agreement, including all exhibits and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
