WHEREAS, Provider operates and facilitates spiritual retreats, offering guided meditation, community practice, accommodation, and related services (collectively, the "Retreat Services"), and Participant wishes to attend the retreat described below under the terms set forth in this Agreement.

WHEREAS, the parties intend this Agreement to set forth the rights, responsibilities, and financial terms governing Participant's attendance and Provider's delivery of the Retreat Services.

Scope of Work

Provider shall deliver Retreat Services including facilitation of group practice sessions, individual guidance as reasonable under the program schedule, lodging, meals as described in the retreat schedule, and access to scheduled workshops and ceremonial events. Provider will supply trained facilitators and maintain facilities appropriate for the retreat's stated purpose.

Payment Terms

Participant shall pay Provider the fees for the Retreat Services in accordance with the terms set forth below. All fees are exclusive of taxes unless otherwise stated.

Payments not received by the specified due date shall incur the Late Fee indicated above, calculated from the due date until payment in full. Provider reserves the right to withhold services or require immediate payment in full if Participant's account becomes delinquent.

Term and Termination

This Agreement commences on the Start Date and continues through the End Date, unless earlier terminated in accordance with this section. The Start Date and End Date are: Start Date: End Date: .

Either party may terminate this Agreement upon written notice to the other if the other party materially breaches any obligation and fails to cure such breach within the Notice Period. Provider may terminate immediately for safety concerns or failure by Participant to comply with safety protocols or code of conduct. Upon termination, Participant remains responsible for fees accrued through the effective date of termination and for any non-cancellable third-party costs incurred by Provider.

Confidentiality

Participant acknowledges that certain communications, teachings, personal disclosures, and materials exchanged during the retreat may be confidential. Participant agrees not to disclose personal confidences of other participants or private content of ceremonial practices without express consent. Provider will treat Participant personal information as confidential and will not disclose it except as required by law or as necessary to provide the Retreat Services.

Assumption of Risk and Release

Participant acknowledges that participation in retreat activities involves inherent risks, including physical, emotional, and psychological risks. Participant accepts full responsibility for any injury, loss, or damage sustained while participating and releases Provider, its agents, employees, and volunteers from liability except for willful misconduct or gross negligence.

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved first through good faith negotiation, and if unresolved, through mediation before any party may pursue litigation.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter contained herein and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendments must be in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The parties acknowledge that signatures delivered electronically or by facsimile shall have the same force and effect as original signatures.
