SPONSORSHIP AGREEMENT

This Sponsorship Agreement ("Agreement") is entered into as of by and between Sponsor Name: and Organizer Name: .

SCOPE OF WORK

PAYMENT TERMS

Sponsor agrees to pay Organizer a sponsorship fee of USD in accordance with the following schedule.

Late payment shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by applicable law. Sponsor will also be responsible for reasonable collection costs and attorneys' fees incurred by Organizer in enforcing payment obligations.

TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, terminates on End Date: .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Organizer may terminate immediately for force majeure events that make performance impracticable; Sponsor will be entitled to a pro rata refund for prepaid fees in such event, except as otherwise agreed in writing.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information marked or reasonably understood to be confidential and received from the other party in connection with this Agreement ("Confidential Information"). Confidential Information excludes information that (a) is or becomes publicly known through no breach by the receiving party, (b) is rightfully received without restriction from a third party, or (c) is independently developed. The receiving party shall use Confidential Information solely for performance of its obligations under this Agreement and shall not disclose it except to employees, contractors, advisors, or affiliates with a need to know and who are bound by confidentiality obligations at least as protective as those herein.

INTELLECTUAL PROPERTY; LOGO USE

Sponsor grants Organizer a limited, non-exclusive, non-transferable license to use Sponsor's trademarks and logos solely in connection with the promotional rights described herein, subject to Sponsor's trademark usage guidelines. All materials created by Organizer for the event shall be owned by Organizer, unless the parties expressly agree in writing to the contrary. Sponsor shall retain all rights in its marks and materials and shall supply artwork in the format requested by Organizer.

INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents (collectively, the "Indemnified Parties") from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's breach of this Agreement, negligent acts or willful misconduct, or infringement of a third party's intellectual property rights, except to the extent caused by the Indemnified Party's negligence or willful misconduct.

LIMITATION OF LIABILITY

Except for indemnification obligations, breach of confidentiality, or willful misconduct, neither party will be liable to the other for indirect, incidental, consequential or punitive damages. The aggregate liability of either party for direct damages arising from this Agreement shall not exceed the total sponsorship fees paid to Organizer under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or specifications referenced herein, constitutes the entire agreement between the parties and supersedes all prior understandings and agreements, whether written or oral, regarding the subject matter. No amendment or waiver shall be effective unless made in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Organizer may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
