SPONSORSHIP AGREEMENT

This Sponsorship Agreement (Agreement) is entered into as of Effective Date: by and between Sponsor Name: and Organizer Name: .

RECITALS

WHEREAS, Sponsor is willing to provide financial and/or in-kind support for the event or program described below in exchange for specified sponsorship benefits; and

WHEREAS, the parties desire to set forth the terms and conditions of the sponsorship in this Agreement.

Late Payment: Any amount not paid within days of its due date shall bear interest at until paid. Sponsor shall also be responsible for reasonable collection costs and attorneys' fees incurred by Organizer in collecting delinquent sums.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Either party may terminate without cause upon days' prior written notice to the other party; in such event Sponsor shall be responsible only for payments due and non-cancellable obligations incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that, under the circumstances of disclosure, reasonably should be understood to be confidential ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, is lawfully received from a third party without restriction, or is independently developed without use of the other party's Confidential Information.

The receiving party shall use Confidential Information only for the purposes of performing its obligations under this Agreement and shall protect it with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care. The obligations in this Section shall survive termination for following termination.

INTELLECTUAL PROPERTY AND USE OF MARKS

Sponsor grants Organizer a non-exclusive, revocable license to use Sponsor's trade names, logos and trademarks (Sponsor Marks) solely as necessary to fulfill the sponsorship benefits described in this Agreement, subject to Sponsor's prior written brand guidelines and approvals. Organizer shall not alter Sponsor Marks and shall use Sponsor Marks only as provided in this Agreement.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence or willful misconduct in connection with this Agreement. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR A PARTY'S BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any action arising out of or relating to this Agreement shall be in the state or federal courts located within that State.

ENTIRE AGREEMENT

This Agreement, including any attachments and exhibits specifically incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of the Parties: The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, employment or agency relationship. Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to a successor to substantially all of its business.
