This Sponsorship Application and Agreement (the "Agreement") is submitted by Sponsor and, upon acceptance by Organizer, will constitute a binding agreement as set forth below. Sponsor and Organizer are identified as follows for all purposes under this Agreement:

WHEREAS: Organizer produces and manages the event or program and desires to secure sponsorship under the terms and conditions set forth herein; and

WHEREAS: The parties intend that this Application, if accepted by Organizer in writing, constitute the full agreement between the parties regarding the sponsorship contemplated herein.

Scope of Work

Describe specific obligations of Sponsor and Organizer. Include timelines, deliverables, and any performance metrics. This section forms part of the binding obligations if Organizer accepts this application.

Payment Terms

Sponsor agrees to the following compensation and billing terms upon acceptance of this Application by Organizer.

Payments not received by the due date shall accrue the specified late fee. Organizer reserves the right to suspend Sponsor benefits until past due amounts are paid, and to pursue collection and recovery of costs of collection, including reasonable attorneys' fees.

Term and Termination

This Agreement becomes effective upon written acceptance by Organizer and shall continue for the term set forth below unless earlier terminated in accordance with the provisions herein.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period above after receipt of written notice. Organizer may terminate immediately for insolvency, bankruptcy, or unlawful conduct that threatens the event or participants. Termination does not relieve Sponsor of payment obligations that accrued prior to termination.

Confidentiality

Each party shall maintain in confidence non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, is already known to the receiving party, or is independently developed. Remedies for breach include injunctive relief and recovery of damages.

Representations and Warranties

Sponsor represents and warrants that it has full authority to enter into this Agreement and to provide any materials, logos, or content, and that such materials do not infringe third-party rights. Organizer represents and warrants that it will use Sponsor materials only as permitted by this Agreement and will reasonably protect Sponsor's intellectual property rights.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law rules. The parties agree to attempt good faith negotiation to resolve disputes. If unresolved, disputes shall be resolved by binding arbitration or in the courts of the governing jurisdiction as selected below.

Entire Agreement

This Application and Agreement, together with any attachments, exhibit(s), and written acceptance by Organizer, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Any amendments must be in writing and signed by both parties.

Sponsor certifies that the information provided is true and complete and authorizes Organizer to use Sponsor's name and logo as agreed. Attach any logo files, proof of nonprofit status (if applicable), and marketing requirements as separate materials to be submitted with this application.
