WHEREAS

WHEREAS, Organizer produces or operates the program, event, or initiative described below and seeks financial or in-kind support to deliver the program as specified; and

WHEREAS, Sponsor desires to provide sponsorship in exchange for the rights, benefits, and promotional opportunities described in this Agreement and the attached Scope of Work; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

SCOPE OF WORK

Organizer shall perform the services and deliver the benefits set forth below. Sponsor's obligations are limited to those explicitly set forth in this Agreement.

PAYMENT TERMS

Sponsor agrees to pay Organizer the sponsorship consideration set forth below in accordance with the schedule and terms described. All amounts are stated in U.S. dollars unless otherwise indicated.

TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until the completion of the obligations set forth herein unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure within the notice period above after receipt of written notice specifying the breach. Termination does not relieve Sponsor of payment obligations accrued prior to termination, and Organizer shall provide a final accounting of delivered benefits within 30 days of termination.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party any nonpublic proprietary information received from the other party in connection with this Agreement ("Confidential Information"). Confidential Information excludes information that is or becomes generally available to the public through no fault of the receiving party, is rightfully received by the receiving party from a third party without restriction, or is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall take reasonable measures to prevent unauthorized disclosure, not less than those used to protect its own confidential materials.

USE OF TRADEMARKS, LOGOS, AND PROMOTIONAL MATERIALS

Sponsor grants Organizer a limited, non-exclusive license to use Sponsor's name, logo, and marks solely for the promotional purposes described in this Agreement and only in accordance with Sponsor's brand guidelines. Organizer shall cease use of such marks upon expiration or termination of this Agreement or upon Sponsor's written request if Organizer materially breaches the agreed usage terms.

INDEMNIFICATION

Each party ("Indemnitor") shall indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of the Indemnitor's breach of this Agreement, negligence, or willful misconduct in connection with performing its obligations hereunder.

REPORTING AND METRICS

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

This Agreement, together with any attachments or addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
