Either party may terminate this Sponsorship for material breach not cured within days after written notice. Organization may terminate immediately for non-payment.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public business information received from the other party that is designated confidential or that a reasonable person would understand to be confidential under the circumstances ("Confidential Information"). Confidential Information does not include information that is publicly known through no fault of the receiving party, independently developed without use of Confidential Information, or lawfully received from a third party without restriction. The receiving party shall use Confidential Information solely to perform obligations under this Sponsor Card and shall not disclose it without prior written consent except as required by law.

INTELLECTUAL PROPERTY AND LOGOS

Sponsor grants Organization a limited, non-exclusive, royalty-free license to reproduce Sponsor's name, trademarks, and logos solely for the promotional purposes described in this Sponsor Card. Sponsor warrants that it has the right to grant such license and that use in the manner contemplated will not infringe third-party rights.

Sponsor confirms Sponsor will provide high-resolution logo files and any required trademarks by the Artwork / Logo Deadline. Organization will have final approval of placement and color usage for branded materials to maintain quality and consistency.

GOVERNING LAW

This Sponsor Card and any dispute arising under it shall be governed by and construed in accordance with the laws of the jurisdiction selected below without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Sponsor Card, together with any attachments, schedules, or written addenda executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Indemnification: Sponsor shall indemnify and hold harmless Organization, its officers, directors, employees, and agents from any third-party claims arising out of Sponsor's materials, negligence, or breach of this Sponsor Card. Organization shall indemnify Sponsor for claims arising from Organization's negligence in the execution of benefits.

Force Majeure: Neither party shall be liable for failure to perform obligations to the extent performance is prevented by events beyond reasonable control, including acts of God, strikes, pandemics, government actions, or other force majeure events.
