WHEREAS, Service Provider is engaged in the business of providing sports event services and has the experience, personnel, and equipment necessary to perform the services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms, conditions, and obligations for the provision of such services.

SCOPE OF WORK

The Service Provider shall furnish personnel, equipment, and supervision necessary to perform the services described below. Specific tasks, schedules, deliverables, and performance standards shall be those set forth in the Scope of Work field and any attachments incorporated by reference.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after written notice. Termination for convenience requires days' prior written notice.

INSURANCE, PERMITS, AND SAFETY

Service Provider shall, at its own expense, maintain commercial general liability insurance and, where applicable, participant accident and professional liability coverage for the Event. Proof of insurance shall be provided to Organizer upon request.

CONFIDENTIALITY

Each party shall treat as Confidential Information all non-public business or technical information disclosed by the other party that is marked confidential or that a reasonable person would understand to be confidential. Confidential Information shall not include information that is (a) publicly known through no act or omission of the receiving party; (b) rightfully received from a third party without restriction; or (c) independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely for the purposes of performing obligations under this Agreement and shall not disclose Confidential Information except to employees, agents, or subcontractors who need to know and who are bound by confidentiality obligations at least as protective as those herein.

INDEMNIFICATION

Service Provider agrees to indemnify, defend, and hold harmless Organizer, its officers, directors and employees from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or resulting from the negligent acts or omissions of Service Provider, its employees, agents or subcontractors in connection with the performance of this Agreement, except to the extent caused by Organizer's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, and communications relating to the subject matter hereof. No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by both parties.
