SPORTS FACILITY RENTAL AGREEMENT

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days following written notice. Notice of non-renewal or termination for convenience must be provided in writing at least days prior to the effective date of termination.

Insurance and Indemnity

Renter shall, at its expense, maintain commercial general liability insurance with limits not less than $ per occurrence and shall name Owner as an additional insured to the extent of Renter's use of the premises. Certificates evidencing required insurance shall be provided to Owner prior to occupancy.

Renter agrees to indemnify, defend, and hold Owner harmless from and against any and all claims, liabilities, losses, costs, and expenses (including reasonable attorney fees) arising out of or resulting from Renter's use of the facility, except to the extent caused by Owner's gross negligence or willful misconduct.

Damage, Repairs and Security

Renter shall be responsible for repair and replacement costs for damage to the facility, its fixtures, equipment, or grounds caused by Renter, Renter's invitees, or participants. Owner may use the security deposit to cover such costs. If repairs exceed the security deposit, Renter shall promptly pay the balance upon demand.

Compliance with Laws and Facility Rules

Renter shall comply with all applicable laws, ordinances, safety rules, and Owner's posted rules and policies. Owner may promulgate reasonable rules for crowd control, parking, noise, and conduct; Renter shall ensure attendees comply with such rules.

Confidentiality

Each party agrees that it will not disclose Confidential Information of the other party obtained under this Agreement to any third party without prior written consent, except as required by law. "Confidential Information" includes non-public financial terms, attendee lists, proprietary operational procedures, and other information reasonably designated as confidential. The obligation of confidentiality shall survive the termination of this Agreement for a period of two (2) years.

Cancellation and Refunds

If Renter cancels more than days prior to the Event Start Date, Owner will refund amounts paid less any non-refundable costs. Cancellations within days of the Event Start Date will forfeit the deposit and may be responsible for the full rental fee.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement
