SPORTS FOOTBALL CONTRACT

WHEREAS

WHEREAS, the Team desires to engage the Player to provide professional football playing services, training participation, and related promotional activities on the terms and conditions set forth in this Agreement; and

WHEREAS, the Player represents that the Player is physically and legally able to perform the services described herein, subject to completion of any required medical examination and clearance; and

WHEREAS, the parties desire to set forth their entire agreement with respect to the Player's engagement by the Team.

The Player shall attend all reasonable training sessions, team meetings, match fixtures, medical examinations and promotional events as directed by the Team, comply with the Team's codes of conduct, and use best efforts to perform services to a professional standard. The Player shall not engage in activities that materially increase the risk of injury without prior written consent of the Team.

PAYMENT TERMS

All payments are payable in lawful currency. The Team shall withhold taxes and make social security or similar contributions as required by applicable law. Bonuses are earned only upon satisfaction of the objective conditions set forth in the bonus provisions and are subject to the Team's verification of performance and eligibility.

This Agreement may be terminated by either party for cause upon written notice where the other party materially breaches this Agreement and fails to cure the breach within a reasonable period where curable. The Team may terminate immediately for gross misconduct, conviction of a felony, fraudulent conduct, or conduct that materially damages the Team's reputation. In the event of a career-ending injury verified by two independent medical practitioners, the parties shall meet to determine appropriate resolution including possible termination and settlement consistent with applicable rules.

CONFIDENTIALITY

The Player shall maintain in strict confidence all non-public information concerning the Team's business, strategies, personnel, medical records, financial terms and other proprietary information (Confidential Information). The Player shall not disclose, use or permit the use of Confidential Information except as required to perform duties under this Agreement or as required by law. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of years.

INSURANCE, MEDICAL AND REPRESENTATIONS

The Team shall maintain players' insurance as required by applicable league rules and will notify the Player of coverage particulars. The Player represents and warrants that the Player is physically fit to perform the services and has disclosed any material medical condition to the Team. The Player consents to reasonable medical examinations and to the release of medical information to the Team for treatment and insurance purposes.

INDEMNIFICATION

Each party shall indemnify and defend the other from and against any third-party claims, liabilities, losses or expenses arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct, except to the extent caused by the indemnitee's own negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Agreement, unless arbitration is agreed in writing.

ENTIRE AGREEMENT

This Agreement, including any schedules and written amendments signed by both parties, constitutes the entire agreement between the Team and the Player with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have had the opportunity to seek independent legal advice prior to signing and that they enter this Agreement voluntarily.
