PAYMENT TERMS

In consideration for the services and rights granted under this Agreement, League Name shall pay Host/Organizer the Total Fee and any additional agreed costs in accordance with the schedule below. All payments shall be made in U.S. dollars unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on and terminates on unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice.

CONFIDENTIALITY

Each party acknowledges that in performing its obligations under this Agreement it may obtain confidential or proprietary information of the other party. Each party agrees to hold all such information in strict confidence and not to disclose it to any third party or use it except as necessary to perform this Agreement. Confidential information does not include information that is publicly available through no breach of this Agreement or information independently developed by the receiving party.

INSURANCE AND COMPLIANCE

Host/Organizer shall maintain, at its expense, commercial general liability insurance and, where applicable, event liability and workers' compensation insurance in amounts sufficient to cover the risks arising from the hosting and operation of the Championship. Host/Organizer shall provide evidence of such insurance upon request.

ADDITIONAL PROVISIONS

Compliance with Laws: Each party shall comply with all applicable laws, rules, and regulations in performing their obligations under this Agreement, including crowd control and health and safety requirements.

Indemnification: Each party shall indemnify and hold harmless the other party, its officers, directors, and employees from and against any claims, liabilities, losses or expenses arising from the indemnifying party's negligent acts or willful misconduct in connection with this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflicts of law principles.

ENTIRE AGREEMENT
