SPORTS OFFICIAL AGREEMENT

This Sports Official Agreement ("Agreement") is entered into as of by and between Organizer Name: ("Organizer") and Official Name: ("Official"). Organizer and Official are each a "Party" and collectively the "Parties."

WHEREAS / RECITALS

WHEREAS, Organizer conducts athletic events and competitions and requires qualified officials to adjudicate contests, administer rules, and ensure participant safety; and

WHEREAS, Official represents that he or she possesses the experience, certifications, and fitness necessary to perform officiating services for the Event identified below and agrees to perform such services in accordance with this Agreement.

WHEREAS, the Parties desire to set forth the terms under which Official will provide officiating services for the Event described herein.

EVENT DETAILS

SCOPE OF WORK

Official will provide impartial officiating services including, but not limited to, enforcing applicable rules, administering game procedures, maintaining appropriate records of contest results and reports, cooperating with event staff, and attending required meetings and briefings.

PAYMENT TERMS

Organizer agrees to compensate Official for services rendered as set forth below. Payment is contingent upon timely submission of any required reports, timesheets, or invoices and performance in accordance with the standards set forth in this Agreement.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues through End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement immediately for material breach by the other Party if the breach remains uncured for ten (10) days after written notice. Organizer may suspend Official's assignments immediately for safety concerns, violation of rules, or failure to maintain required credentials.

CONFIDENTIALITY

Official acknowledges that during the performance of services Official may learn non-public or proprietary information of Organizer and its participants ("Confidential Information"). Official shall hold Confidential Information in strict confidence and shall not disclose or use such information except as necessary to perform duties under this Agreement. The confidentiality obligation survives termination of this Agreement for a period of years.

INDEMNIFICATION AND INSURANCE

Official shall indemnify, defend and hold harmless Organizer and its officers, directors, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Official's negligent acts, willful misconduct, or breach of this Agreement. Official shall maintain at his or her expense general liability insurance and, where applicable, professional/officiating liability coverage in commercially reasonable amounts and provide proof of insurance upon request.

STANDARDS OF CONDUCT; BACKGROUND CHECKS

Official agrees to perform services in a professional manner, to comply with applicable rules and codes of conduct, and to promptly report any incidents or injuries. Organizer may require, at Organizer's discretion, that Official submit to background checks, credential verification, or drug screening as a condition of assignment. Official's failure to satisfy such requirements is grounds for non-assignment or termination.

INDEPENDENT CONTRACTOR

Official is an independent contractor and not an employee, partner, or agent of Organizer. Official is responsible for all taxes, withholding, benefits, and other obligations imposed by law on independent contractors. Nothing in this Agreement shall be construed to create an employment relationship.

NOTICES

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of without regard to conflict of law principles. The Parties shall first attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by binding arbitration conducted in the county where Organizer is located, administered under commercially reasonable arbitration rules.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments and written assignment confirmations, contains the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. This Agreement may be amended only by a written instrument signed by both Parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable by a court or arbitrator, the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other Party, except that Organizer may assign to an affiliated entity or purchaser of substantially all of its assets.
