Recitals

WHEREAS, the Team desires to engage the services of the Player to perform athletic services in the sport specified below and to represent the Team in competitions and related activities under the terms and conditions set forth in this Agreement;

WHEREAS, the Player represents that the Player is physically able, licensed (if applicable), and otherwise qualified to render such services and is willing to perform athletic services for the Team in accordance with the terms of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows.

Scope of Services

The Player shall perform the following duties, services and obligations for the Team, which shall be subject to the Team's reasonable scheduling and coaching directives:

Payment Terms

Late Payment: If any payment due to the Player is not paid within days of its due date, the Team shall pay interest on the overdue amount at the lesser of (a) the rate of per month, or (b) the maximum rate permitted by law.

Taxes and Withholding: The Player acknowledges that compensation paid under this Agreement is subject to applicable withholding and reporting. The Player shall be responsible for all personal income taxes and other taxes assessed on amounts received, unless otherwise agreed in writing.

Term and Termination

Term: This Agreement shall commence on the Start Date: and shall continue until the End Date: , unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate this Agreement immediately for material breach by the other party that remains uncured for days after written notice specifying the breach. Material breach includes, without limitation, willful violation of league rules, doping violations, or other conduct rendering continued performance impossible or unlawful.

Termination Without Cause: Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Upon termination, the Team shall pay the Player pro rata compensation for services rendered through the termination date, subject to setoffs permitted by this Agreement.

Confidentiality

The Player shall keep confidential all non-public information relating to the Team's business operations, scouting reports, playbooks, strategies, proprietary training methods, medical information of other players and contract terms (collectively, "Confidential Information"), and shall not disclose such information to any third party except as required by law or with the Team's prior written consent.

Exceptions: Confidential Information shall not include information that (a) is or becomes generally known to the public other than through a breach of this Agreement, (b) was rightfully in the Player's possession prior to disclosure by the Team, or (c) is independently developed by the Player without use of Team Confidential Information.

Insurance, Medical and Conduct

Medical Examination and Insurance: The Player shall submit to reasonable medical examinations required by the Team and maintain the insurance coverage required by applicable league rules or as separately agreed. The Team shall maintain insurance for team liability as required by law; the Player may be required to obtain personal insurance for career-related risks if so requested in writing by the Team.

Conduct: The Player shall comply with the Team's code of conduct and all applicable league rules. The Team may discipline or suspend the Player for violations, subject to applicable policies and due process where required.

Representations, Warranties and Indemnification

Each party represents and warrants that it has the full power and authority to enter into this Agreement and perform its obligations. The Player warrants that the Player is not under any contractual restriction that would prevent full performance. The Player shall indemnify and hold the Team harmless from claims arising out of the Player's willful misconduct or breach of this Agreement; the Team shall indemnify the Player for claims arising from the Team's gross negligence or willful misconduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of law principles. Unless otherwise required by mandatory league procedures, disputes arising under this Agreement shall be resolved by binding arbitration conducted in the county or district designated by the Team, pursuant to the arbitration rules agreed by the parties.

Entire Agreement; Amendment

This Agreement, together with any schedules, exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and understandings, whether written or oral. No amendment shall be effective unless made in writing and executed by authorized representatives of both parties.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that the Team may assign to an affiliate or successor entity in connection with a sale of substantially all of the Team's assets or interests.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
