Sports Referee Services Agreement

This Sports Referee Services Agreement (the Agreement) is made and entered into as of by and between:

Recitals

WHEREAS, Organizer conducts athletic events, competitions and matches described in this Agreement and requires qualified officiating services; and

WHEREAS, Referee represents that Referee is duly qualified, licensed and certified to perform officiating services for the sports and levels specified and agrees to perform such services under the terms and conditions set forth herein;

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the provision of officiating services.

Scope of Work

Referee shall provide officiating and related services including but not limited to pre-game inspections, enforcement of rules, timekeeping oversight, issuance of penalties, reporting of incidents, and post-game reports for the events identified by Organizer. Referee shall perform services in a professional manner consistent with industry standards and applicable rules of the sport.

Referee Qualifications and Requirements

Referee certifies that Referee holds all applicable certifications, licenses and training required to officiate the assigned competitions and will maintain such credentials in good standing during the Term. Referee agrees to comply with Organizer's code of conduct and safety protocols.

Payment Terms

Organizer shall pay Referee the fees set forth below in exchange for the services rendered. Payment shall be full compensation for all services, travel time, and ordinary expenses unless otherwise stated.

Term and Termination

Term: This Agreement begins on and ends on unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within the notice period specified above. Organizer may suspend assignments immediately for alleged misconduct pending investigation; sustained findings of misconduct may be grounds for immediate termination.

Confidentiality

Each party acknowledges that in performing under this Agreement it may receive Confidential Information of the other party. Confidential Information means non-public information disclosed in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential.

The receiving party shall: (a) hold Confidential Information in confidence and protect it with at least the same degree of care used to protect its own confidential information; (b) not disclose Confidential Information to any third party except as necessary to perform under this Agreement and subject to confidentiality obligations; and (c) use Confidential Information only for performance of this Agreement. Confidentiality obligations shall survive termination for a period of years, except as otherwise required by law.

Insurance and Indemnification

Referee shall maintain at Referee's expense general liability insurance covering personal injury and property damage with limits sufficient for the level of events officiated and name Organizer as an additional insured where required by Organizer. Evidence of insurance shall be provided upon request.

Each party agrees to indemnify, defend and hold harmless the other party from and against any claims, losses, liabilities or expenses arising from that party's negligence or willful misconduct in connection with this Agreement, except to the extent caused by the indemnified party's negligence or willful misconduct.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall first attempt in good faith to resolve disputes through negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration administered in the county agreed by the parties, or if no county is agreed, in the county where Organizer is located.

Entire Agreement

This Agreement, including any attachments or schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Miscellaneous Provisions

Relationship of Parties: Referee is an independent contractor and not an employee, agent or partner of Organizer. Referee is responsible for all federal, state and local taxes and withholding obligations arising from the compensation paid under this Agreement.
