NOW THEREFORE

In consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Attorney" means the lawyer or law firm identified by Client to represent Client in the matter described above. Attorney Name (if known):

2. CONSENT AND WAIVER

Spouse acknowledges that Attorney's simultaneous or successive representation of Client may give rise to an actual or potential conflict of interest by reason of Spouse's relationship to Client. Spouse hereby voluntarily and knowingly consents to Attorney's representation of Client in the Matter despite such conflict, subject to the limitations set forth in this Agreement.

Spouse expressly waives any claim that Attorney's representation of Client constitutes a breach of a duty to Spouse, provided Attorney complies with the terms of this Agreement and applicable ethical obligations.

3. SCOPE OF WAIVER; LIMITATIONS

The waiver is limited to the Matter described above and does not authorize Attorney to represent Client in any matter adverse to Spouse unless Spouse gives a separate written waiver. Spouse's consent does not obligate Attorney to take any action that is inconsistent with Attorney's duties under law or rules of professional conduct.

Spouse acknowledges that Attorney may be required by applicable professional rules to withdraw from representing Client if a non-waivable conflict arises or if continuing representation would otherwise violate professional obligations.

4. DISCLOSURES

What a Spousal Conflict Waiver Agreement Is

A Spousal Conflict Waiver Agreement is a written document in which a spouse formally acknowledges a potential conflict of interest and consents to a limited waiver so another party—commonly an attorney, fiduciary, or agent—may act in a matter that could otherwise pose a conflict. The agreement describes the nature of the conflict, the scope and duration of the waiver, any limitations or conditions, and signatures by the spouse and other parties. When properly executed it clarifies consent, reduces ambiguity, and creates a record that may be relied on in professional, transactional, or court settings.

Why this Agreement Matters for Clear, Enforceable Consent

A written spousal conflict waiver documents informed consent, reduces the risk of ethical or fiduciary challenges, and helps ensure parties understand the scope of permitted representation or action under state law and professional rules.

Why this Agreement Matters for Clear, Enforceable Consent

Who Commonly Uses a Spousal Conflict Waiver

This agreement is typically used where potential conflicts arise from marital relationships and professional duties; it applies across legal, financial, and estate contexts.

  • Family law attorneys seeking written consent for joint or related representations where a spouse may have interests that intersect.
  • Estate planners and executors when a spouse’s interests could affect administration or distribution decisions.
  • In-house counsel and financial advisors resolving spouse-related conflicts tied to transactions or contract negotiations.

Use this waiver where disclosure and documented consent will reduce the chance of later disputes or disqualification; consult applicable state ethics rules.

Common Mistakes to Avoid

  • Vague waiver language that fails to define the exact matters being waived, leading to enforceability challenges.
  • Failing to obtain notarization or witness signatures when a state or court rule requires them for the document to be effective.
  • Using initials instead of full signatures where the form or applicable rules require a complete signature and date.
  • Rushing execution without giving the spouse time to consult independent counsel, which may undermine 'informed' consent.

Legal Risks and Consequences

Unenforceable Waiver: May be set aside
Malpractice Claim: Risk if duty breached
Professional Discipline: State bar sanctions possible
Court Rejection: Document may be excluded
Tax Consequences: Inadequate disclosure can affect filings
Revocation Risk: Spouse may later revoke consent
