SPRINKLER SYSTEM MAINTENANCE DOCUMENT

This Sprinkler System Maintenance Agreement (the "Agreement") is entered into by and between:

WHEREAS

WHEREAS, Client owns or controls the property and irrigation infrastructure described in the Site Description, and seeks regular maintenance, inspection, repair and related services for the sprinkler system located at the property; and

WHEREAS, Contractor represents that it is experienced and properly licensed to perform sprinkler system maintenance and agrees to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, schedule, payment terms and other obligations governing maintenance of the sprinkler system.

SITE DESCRIPTION

SCOPE OF WORK

Contractor shall perform the following maintenance services in a professional manner consistent with industry standards and applicable codes. Specific duties include, but are not limited to, the items listed below and any additional services agreed in writing.

PAYMENT TERMS

Late fee of % per month on overdue balances, or the maximum allowed by law if less.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate for convenience by providing written notice at least days prior to the effective termination date. Immediate termination is permitted for material breach that is not cured within a commercially reasonable period following written notice of breach.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party that is identified as confidential or which, by its nature, would reasonably be considered confidential. Confidential information shall not be used except to perform obligations under this Agreement. Confidentiality obligations survive termination for a period of years, except as otherwise required by law.

INSURANCE, WARRANTY & LIABILITY

Contractor shall maintain at all times commercial general liability insurance and workers' compensation insurance in amounts customary for the trade and will provide proof upon written request. Contractor warrants that labor performed will be free from substantial defects for a period of months from completion. Parts and materials supplied may carry separate manufacturer warranties. Except for gross negligence or willful misconduct, Contractor's aggregate liability for claims arising out of this Agreement shall not exceed the total payments made under this Agreement for the preceding 12 months.

ACCESS, PERMITS & COMPLIANCE

Client shall provide safe access to the sprinkler system and obtain any permits or approvals required by local authorities. Contractor will comply with applicable codes, ordinances, and manufacturer installation and service instructions.

SERVICE RECORDS & REPORTING

Contractor will provide written service reports for each visit documenting work performed, parts used, recommendations and any observed deficiencies. Reports will be retained by Contractor and made available to Client upon request.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Parties agree to negotiate in good faith to resolve disputes and may pursue any remedies available at law or in equity.

ENTIRE AGREEMENT

This Agreement, including any attachments, schedules and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written agreements, representations or understandings. Any modification must be in writing and signed by authorized representatives of both parties.

CERTIFICATIONS

Contractor certifies that it is duly authorized to perform the services described, that it will perform services in a professional manner, and that all personnel are qualified and, where applicable, licensed. Client certifies it has authority to engage Contractor and authorize access to the property and system described herein.
