STAGE MANAGEMENT SUPERVISOR AGREEMENT

This Stage Management Supervisor Agreement (Agreement) is entered into as of by and between Producer/Company: with principal place of business at , and Supervisor: , residing at .

RECITALS

WHEREAS, Producer/Company engages in the production and presentation of live theatrical events and requires experienced stage management supervision to ensure the safe, punctual and professional execution of rehearsals and performances; and

WHEREAS, Supervisor represents that Supervisor has the skill, experience and licensing (if any) necessary to perform the duties set forth in this Agreement and is willing to provide such services to Producer/Company under the terms and conditions herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

SCOPE OF WORK

Supervisor shall provide stage management supervisory services for the production(s) described below. Supervisor's duties shall include, but are not limited to: supervising stage managers and assistant stage managers, coordinating rehearsal and performance schedules, calling cues, maintaining prompt books and safety protocols, supervising load-ins/load-outs, and liaising with creative and technical staff.

PAYMENT TERMS

Producer/Company shall compensate Supervisor as set forth below. Compensation is full remuneration for all services rendered under this Agreement unless otherwise agreed in writing.

All travel, lodging and production-approved out-of-pocket expenses shall be reimbursed by Producer/Company upon submission of receipts unless otherwise provided. Travel and expenses to be reimbursed:

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue through unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the effective termination date. Producer/Company may terminate immediately for cause upon material breach, failure to perform duties, gross negligence, willful misconduct, or violation of safety protocols. Termination for cause by Producer/Company shall not relieve Producer/Company of the obligation to pay for services performed and approved expenses incurred prior to termination.

CONFIDENTIALITY

Supervisor acknowledges that in the course of performing services Supervisor may receive or observe confidential information relating to the production, creative content, cast, crew, technical designs, budgets and other proprietary matters ("Confidential Information"). Supervisor shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as required to perform obligations under this Agreement; and (c) use Confidential Information only for the purposes of performing under this Agreement. Confidential Information does not include information that is or becomes public without breach by Supervisor or that Supervisor lawfully receives from a third party not subject to a confidentiality obligation.

Upon termination or expiration of this Agreement, Supervisor shall promptly return or destroy all physical and electronic materials containing Confidential Information and certify such return or destruction upon request.

INDEPENDENT CONTRACTOR; COMPLIANCE

Supervisor is an independent contractor and not an employee, agent or partner of Producer/Company. Supervisor shall be responsible for all taxes arising from compensation paid hereunder and shall obtain and maintain any required permits, licenses, and insurance. Supervisor shall comply with all applicable laws, venue rules, union regulations (if applicable) and Producer/Company's reasonable safety and access policies.

INDEMNIFICATION AND INSURANCE

Supervisor shall indemnify, defend and hold harmless Producer/Company, its officers, directors, employees and agents from and against any claims, liabilities, losses, damages and expenses arising from Supervisor's negligent acts or willful misconduct. Producer/Company may require evidence of insurance coverage appropriate to the duties performed; if required, Supervisor shall maintain general liability and workers' compensation insurance as applicable.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles. Venue for any dispute arising out of this Agreement shall be in the state or federal courts located in that state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any written attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications. Any modification or amendment to this Agreement must be in a written document signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. The waiver of any breach or default shall not constitute a waiver of any other right. Notices under this Agreement shall be in writing and delivered to the addresses set forth above (or to such other address as a party may designate in writing).
