Stage Manager Services Contract

This Stage Manager Services Contract ("Agreement") is made and entered into as of by and between Client Name: with principal address ("Producer"), and Stage Manager Name: with address ("Stage Manager").

RECITALS

WHEREAS, Producer is producing the theatrical production titled to be presented at (the "Production");

WHEREAS, Producer desires to engage the Stage Manager to render stage management and related services for the Production on the terms and conditions set forth in this Agreement; and

WHEREAS, Stage Manager represents that Stage Manager has the requisite experience, skill, and ability to perform the services required herein and is willing to perform such services under the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, Producer and Stage Manager agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Producer hereby engages Stage Manager, and Stage Manager accepts such engagement, to provide stage management services for the Production, subject to the terms and conditions of this Agreement.

1.2 Services. Stage Manager shall perform customary stage management duties including, without limitation: attendance at rehearsals and performances; maintenance of rehearsal and performance schedules; preparation and upkeep of prompt books, rehearsal reports, and blocking notes; communication and coordination with cast, crew, designers, technical staff, and venue personnel; supervision of stage crew during load-in, tech rehearsals, performances, and strike; calling shows; and other duties reasonably necessary for safe and orderly production operations. Specific responsibilities are:

2. TERM; SCHEDULE

2.1 Term. The term of this Agreement shall commence on and shall continue until unless earlier terminated pursuant to Section 7.

3. COMPENSATION AND EXPENSES

3.1 Compensation. As full compensation for services rendered under this Agreement, Producer shall pay Stage Manager:

3.3 Expenses. Producer shall reimburse Stage Manager for pre-approved, reasonable, and documented Production-related expenses. Expenses in excess of require express prior written approval from Producer. Reimbursement shall be made within thirty (30) days of submission of receipts and reasonable documentation.

4. INDEPENDENT CONTRACTOR

Stage Manager is an independent contractor and not an employee, agent, or partner of Producer. Stage Manager shall have sole responsibility for payment of all federal, state, and local taxes arising from the compensation paid under this Agreement and for providing all insurance required for Stage Manager's personnel, if any.

5. CONFIDENTIALITY

Stage Manager shall hold in confidence and not disclose to any third party any confidential or proprietary information of Producer, including but not limited to scripts, rehearsal notes, technical designs, business information, casting decisions, and any non-public Production materials (collectively, "Confidential Information"), except as necessary to perform the services under this Agreement or as required by law. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years.

6. INTELLECTUAL PROPERTY; WORK PRODUCT

All materials, prompt books, schedules, cue sheets, and other tangible work product prepared by Stage Manager specifically for the Production ("Work Product") shall be the exclusive property of Producer. Stage Manager assigns and agrees to assign all right, title and interest in the Work Product to Producer. Producer grants Stage Manager a non-exclusive right to retain copies of Work Product for professional reference, provided such copies are not distributed or used in a manner that violates Section 5.

7. TERMINATION

7.1 Termination for Convenience. Either party may terminate this Agreement for any reason upon days' prior written notice to the other party.

7.2 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within ten (10) days after receipt of written notice specifying the breach.

8. INDEMNIFICATION

Stage Manager shall indemnify, defend and hold harmless Producer and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Stage Manager's negligent acts, willful misconduct, or breach of this Agreement. Producer shall indemnify, defend and hold harmless Stage Manager from and against any and all claims arising out of Producer's breach of this Agreement or Producer's negligence in the operation or production of the Production.

9. INSURANCE

Stage Manager shall maintain at all times during the term workers' compensation and general liability insurance in amounts sufficient to cover Stage Manager's obligations under this Agreement and as reasonably required by Producer. Upon request, Stage Manager shall provide proof of insurance naming Producer as an additional insured where applicable.

10. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Agreement, and that the execution and performance of this Agreement does not and will not violate any other agreement, obligation, or applicable law.

11. NOTICES

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the parties at the addresses set forth below (or to such other address as a party may specify by notice in accordance with this Section).

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. No waiver of any breach shall be effective unless in writing and signed by the party granting the waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that any action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in that State, and the parties submit to the jurisdiction thereof.

14. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable.

15. MISCELLANEOUS PROVISIONS

15.1 Assignment. Stage Manager shall not assign or delegate any rights or obligations under this Agreement without the prior written consent of Producer. Producer may assign this Agreement to a successor in interest in connection with a sale or transfer of the Production.

15.2 Cooperation. The parties shall cooperate in good faith and use commercially reasonable efforts to effectuate the purposes of this Agreement.
