Standard Terms and Legal Provisions

Indemnification: Client shall indemnify, defend and hold harmless Stager and its agents from any claims, losses or liabilities arising from Client's negligence, misrepresentation of property condition, or unauthorized persons on site. Stager shall indemnify Client for negligent acts of Stager personnel causing direct damage to the property or staging inventory, subject to the limitation below.

Limitation of Liability: Except in cases of gross negligence or willful misconduct, Stager's total aggregate liability under this proposal shall not exceed the total fees actually paid by Client to Stager under this proposal.

Insurance: Stager maintains commercial general liability and property insurance. Client may be required to list Stager as additional insured under Client's policy for any on-site activities; any additional insurance cost is Client's responsibility unless otherwise agreed in writing.

Default and Remedies: If Client fails to pay amounts due or otherwise materially breaches, Stager may pursue collection, retain possession of staging items, and recover costs and attorney fees. Remedies are cumulative.

Governing Law: This Proposal and any resulting agreement shall be governed by the laws of the state in which the property is located, without regard to conflicts of law principles.

Entire Agreement: This Proposal, together with any attachments or executed change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior oral or written statements. Any modification must be in writing and signed by both parties.
