INVENTORY, CONDITION, AND DAMAGES

Stager will provide an initial inventory and condition report prior to installation. Client acknowledges existing property condition as follows:

Client is responsible for pre-existing damage documentation and for notifying Stager of conditions that may affect installation or placement of Stager property. Client accepts responsibility for damage to Stager property while on site except where such damage is caused by Stager negligence.

INSURANCE, LIABILITY, AND INDEMNITY

Client shall maintain adequate property and liability insurance covering the Property, including staging activities, during the term. Stager will maintain general liability insurance for its operations, but Stager's insured limits are the sole limit of Stager's liability for claims related to Stager's performance. Neither party will be liable for consequential, incidental, or punitive damages except for willful misconduct.

Client shall indemnify, defend, and hold harmless Stager and its agents from any claims, losses, or liabilities arising from Client's breach of this Agreement, the condition of the Property, or third-party claims related to showings and inspections, except to the extent caused by Stager's gross negligence or willful misconduct.

CANCELLATION, TERMINATION, AND REMOVAL

Either party may terminate this Agreement upon days' written notice. Cancellation within days of scheduled delivery will result in a cancellation fee of . Client authorizes Stager to remove Stager property if Client is in material breach and fails to cure within seven (7) days of written notice.

DEFAULT AND REMEDIES

In the event of default by Client, Stager may retain the security deposit, remove Stager property at Client expense, pursue collection of unpaid fees, and seek all other remedies at law or in equity. Expenses of removal, storage, and collection (including reasonable legal fees) are the responsibility of the defaulting party.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement will be governed by the laws of the state in which the Property is located. This Agreement, including any attached inventory and scope addenda signed by the parties, constitutes the entire agreement between the parties and supersedes all prior understandings. Amendments must be in writing and signed by both parties.

Client acknowledges receipt of any initial condition report and agrees to cooperate with Stager in scheduling deliveries, showings, and removals.
