CONFIDENTIALITY

Each Party agrees that it will not disclose Confidential Information of the other Party, and will use such Confidential Information solely to perform its obligations under this Agreement. "Confidential Information" means non-public information disclosed in connection with this Agreement that is designated confidential or that by its nature would reasonably be understood to be confidential. Confidentiality obligations do not apply to information that is (a) already known to the receiving Party without restriction, (b) publicly available through no fault of the receiving Party, (c) rightfully received from a third party without restriction, or (d) independently developed without use of the disclosing Party's Confidential Information.

Upon termination or at the disclosing Party's request, the receiving Party shall return or destroy Confidential Information and certify such return or destruction in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments incorporated herein by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether oral or written.
