NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, Operator and Applicant agree as follows when this application is accepted and signed by Operator.

Scope of Use

Applicant's permitted use of the stall is limited to the business activities and goods described below. Any material change in goods, services, or conduct requires prior written approval by Operator.

Payment Terms

Applicant agrees to pay Operator the stall rental fee and related charges in accordance with the following terms.

Term and Termination

This Agreement commences on the Commencement Date and continues through the Termination Date unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period provided above. Operator may terminate immediately for public safety concerns or violation of laws and regulations.

Insurance & Indemnity

Applicant shall maintain commercial general liability insurance naming Operator as additional insured where required by Operator. Applicant shall indemnify and hold Operator harmless from claims arising from Applicant's use of the stall, except to the extent caused by Operator's gross negligence or willful misconduct.

Confidentiality

Applicant and Operator each acknowledge that certain business information may be exchanged in connection with the stall rental. Unless otherwise agreed in writing, neither party shall disclose non-public proprietary information of the other party to third parties. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or which the receiving party can demonstrate was already known prior to disclosure.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict-of-law principles. Venue for any dispute shall be the courts having jurisdiction in the county where the premises are located unless the parties agree otherwise in writing.

Entire Agreement

This document, together with any written acceptance by Operator and any referenced attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
