What the Standard Bank Resolution Template Is

A Standard Bank Resolution Template is a formal corporate document that records an entity's authorized signers and the scope of their authority for bank accounts, wire transfers, and related financial relationships. It typically references the board resolution or corporate minutes that appointed the signer, names the bank account(s), and specifies transactional limits and signature combinations. Banks use the resolution to verify authority before opening accounts, changing signers, or processing large transactions. The template standardizes language across institutions and reduces back-and-forth requests for supporting corporate records during onboarding.

Why a Standard Bank Resolution Template Matters

A clear resolution protects the organization and the bank by documenting authorized signers, limiting liability, and enabling predictable processing. It speeds account actions, reduces manual verification, and creates an auditable record useful for internal controls and compliance reviews.

Why a Standard Bank Resolution Template Matters

Who Typically Completes and Uses This Template

The document is prepared by corporate officers, corporate secretaries, or in-house counsel and used by banks, treasury teams, and authorized signers to confirm authority.

  • Corporate Secretary or General Counsel — Prepares resolution, attaches minutes, provides official seal when required.
  • Treasury or Finance Team — Uses resolution to set account access, signatory limits, and wire authorization rules.
  • Commercial Bank Relationship Officer — Accepts the resolution as evidence of authority and updates bank records accordingly.

Keep a certified copy with corporate records and provide the original or a bank-certified copy to the institution accepting the resolution.

Core Elements that Make a Professional Bank Resolution

A professional resolution combines precise legal language with operational details so banks can act without additional documentation requests.

Entity Details

Full legal name, formation jurisdiction, and entity type. Include EIN and corporate identification used by the bank for verification and anti-money-laundering checks.

Authority Scope

Specific powers granted to signers (open/close accounts, wire transfers, endorse checks). Define dollar or transaction limits and whether single or dual signatures are required.

Named Signers

List signers by full legal name, title, and specimen signature. Indicate whether successors or delegates may act and any identification requirements.

Effective Terms

Effective date and any expiration or review period. State how amendments or revocations must be delivered to the bank to be effective.

Reference Documents

Attach or reference board minutes, bylaws, or operating agreement showing the authority to adopt the resolution, including meeting dates and vote records.

Certification

Signature and title of the certifying officer or corporate secretary, date of certification, and, if required, corporate seal or notarial acknowledgment.

Where to Submit and How Banks Process Resolutions

Banks have standard intake and verification steps; understanding those reduces follow-up requests and onboarding time.

  • Branch Submission: Submit original or notarized copy to the relationship manager.
  • Relationship Officer Review: Officer verifies names, titles, and matching corporate records.
  • Verification Checks: Bank runs identity and beneficial owner screening.
  • Record Update: Bank updates account signatory records and confirms acceptance.

How to Configure an Online Workflow for the Resolution

Set up an e-signature workflow to collect signatures in order, with authentication and storage controls aligned to bank requirements.

Field Configuration
Authentication Email plus SMS code or ID verification
Signer Order Sequential order: certifier first, then signers
Attachments Include board minutes and formation documents
Retention Secure storage with exportable audit trail

Delivery and Sharing Options for the Signed Resolution

Choose delivery methods that satisfy both corporate policy and the bank's acceptance criteria.

  • Email Copy: Encrypted PDF with audit trail
  • Bank Portal: Upload per bank portal instructions
  • In-Person: Deliver original or notarized copy

Preserve both the electronic audit trail and a certified original when the bank requires a notarized or certified copy.

Typical Timing and Processing Expectations

Processing times vary by bank and verification complexity; plan ahead for identity checks and corporate record review.

Draft Preparation Time:

1–3 business days depending on internal approvals

Bank Verification:

2–10 business days for identity and document checks

Notarization Lead Time:

Same-day to 3 days depending on scheduling

Account Update Effective Date:

Effective upon bank confirmation or stated effective date

Amendment Processing:

2–7 business days after receipt of certified amendment

Risks and Consequences of Incorrect Resolutions

Access Denial: Bank may refuse transactions
Financial Liability: Unauthorized payments may create liability
Operational Delay: Frozen accounts until verification completes
Regulatory Risk: AML/KYC deficiencies flagged
Reputational Harm: Vendor payment disruptions
Additional Costs: Notary or attorney fees to correct issues

Common Preparation Mistakes to Avoid

  • Using a trade name instead of the registered legal name can cause banks to reject the resolution and request supporting filings.
  • Omitting board minutes or failing to certify the minutes prevents the bank from verifying authority and delays account changes.
  • Vague authority language such as 'handle banking matters' leads to interpretation disputes; specify transaction types and dollar limits.
  • Failing to update the resolution after officer or signer changes risks unauthorized transactions and may expose signers to personal liability.
