3.2 Waiver of Defenses. Guarantor waives any right to require Creditor to (a) proceed against Principal Debtor or any other person or entity, (b) proceed against or exhaust any collateral or security, or (c) pursue any other remedy available to Creditor. 4. PAYMENT; APPLICATION OF PAYMENTS; SETOFF

4.1 Payment. Guarantor shall pay all amounts owed hereunder no later than five (5) business days after demand by Creditor. All payments shall be made in lawful money and in immediately available funds.

Such amounts shall bear interest at the highest rate permitted by applicable law until paid in full.

6. SUBROGATION; SUBORDINATION

6.1 Subrogation. Guarantor shall not be subrogated to any of Creditor's rights against Principal Debtor until all Obligations have been indefeasibly paid in full. Guarantor waives any right of subrogation, reimbursement, indemnity or contribution from Principal Debtor except to the extent and at such time as Creditor has received full and final payment of the Obligations.

What a Standard Guaranty Agreement Is and When It Applies

A Standard Guaranty Agreement is a written contract in which a guarantor promises to assume responsibility for another party's obligations if that party defaults. Common in lending, lease, performance, and contractor contexts, the guaranty sets the scope of liability, duration, and triggering events. It may be joint and several or several only, and can be limited by dollar amount, time, or specific obligations. Electronic execution is generally acceptable under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted, subject to statutory exceptions and any required notarial formalities.

Why a Clear Guaranty Agreement Matters

A clear, well-drafted Standard Guaranty Agreement reduces ambiguity about who pays, when, and under what conditions, protecting lenders and beneficiaries while giving guarantors transparency about exposure and remedies.

Why a Clear Guaranty Agreement Matters

Who Typically Prepares and Signs a Guaranty

Standard Guaranty Agreements are used by a range of parties in commercial and consumer transactions; the responsible party should prepare the draft and provide it to proposed guarantors for review.

  • Commercial lenders and banks seeking additional credit support for loans or lines of credit.
  • Landlords requiring personal or corporate guaranties for commercial or residential leases.
  • Contracting parties where performance bonds or contractor guarantees are required.

Parties should obtain independent legal advice for guarantors and confirm signing authority before execution to avoid enforceability issues.

Who Signs and Their Roles

Guarantor

An individual or entity that accepts secondary or primary responsibility under the guaranty. The guarantor should have capacity, authority, and be identified by full legal name; inconsistent names or missing authority can expose enforceability risk and may trigger additional identity verification.

Beneficiary

The lender, landlord, or obligee who may enforce the guaranty upon default. The beneficiary must ensure the guaranty identifies obligations clearly, documents indebtedness, and specifies enforcement rights and notice procedures.

Key Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamps, IP, and action history
HIPAA/BAA: BAA required for PHI workflows
Authentication: Email, SMS, KBA, or 2FA options
Certifications: SOC 2 Type II, ISO 27001
Retention: Secure storage and tamper-evident logs

Principal Risks and Legal Consequences

Unlimited Liability: Guarantor may face full debt repayment
Tax Consequences: Potential tax reporting implications
Ineffective Language: Ambiguous terms weaken enforcement
Missing Authority: Entity guaranty without authorization invalid
Notarization Omission: May hinder recordation or enforcement
Revocation Risk: Improper revocation can lead to disputes

Common Preparation Mistakes to Avoid

  • Leaving the guarantor unnamed or using a trade name rather than the legal entity increases the chance a court will refuse enforcement.
  • Failing to specify whether liability is primary or secondary creates confusion about when the guarantor is obligated to pay.
  • Omitting notice, cure, or acceleration provisions can limit the beneficiary’s remedies or delay enforcement.
  • Using vague consideration language (for example, 'value received') without specifying loan or lease details can reduce clarity in claims.

How to Complete a Standard Guaranty Agreement

Follow these steps in order to prepare, review, and execute a legally enforceable guaranty.

  • 01
Identify parties: Enter full legal names and entity types.
  • 02
Describe obligations: Specify debts, dates, and repayment terms.
  • 03
Limit scope: Include dollar caps, term limits, or conditions.
  • 04
Execute properly: Sign, date, notarize if required, and deliver copies.

Typical Routing and Submission Workflow

A standard workflow ensures each party receives, signs, and receives a certified copy with a clear audit trail.

  • Prepare document: Draft guaranty and attach underlying obligation schedule.
  • Request signatures: Send to guarantor and beneficiary for signature.
  • Authenticate signer: Use chosen authentication method for attribution.
  • Store executed copy: Provide signed PDFs and retain audit data.

Essential Clauses Every Professional Guaranty Should Include

A complete Standard Guaranty Agreement combines clear identity details, an explicit guarantee clause, defined triggering events, remedies, governing law, and execution blocks for enforceability.

Parties

Full legal names, entity types, addresses, and representative contact details for guarantor(s) and beneficiary.

Guarantee Clause

Precise language stating whether the guaranty is limited or unlimited, primary or secondary, and whether it is joint and several.

Obligations Covered

List or incorporate loan, lease, or performance obligations, including dates, reference numbers, and exhibits.

Limitations

Any caps, time limits, termination conditions, or dollar maximums that bound guarantor liability.

Remedies and Enforcement

Acceleration, collection costs, attorneys’ fees, and waiver of rights, plus notice procedures and cure periods.

Governing Law and Venue

State selection for dispute resolution and any forum-selection clauses to reduce jurisdiction disputes.

Configuring an Electronic Signature Workflow

Set up the signing workflow to capture signer identity, consent, and an audit trail that supports enforceability under ESIGN/UETA.

Field Configuration
Authentication Email link or SMS code; use stronger methods for higher-risk guaranties.
Signature Type Typed name, drawn signature, or PKI-based digital signature where required.
Notifications Automatic reminders and completion copies to all parties.
Retention Store signed PDF with audit log and encryption at rest.

Technical Requirements for eSigning and Storage

Choose a platform that records timestamps, signer attribution, and stores tamper-evident signed copies.

  • Integrations: CRM, ERP, and cloud storage
  • Formats: PDF, DOCX, and PDF/A
  • Authentication: Email, SMS, 2FA

Ensure the provider supports audit trails, secure retention, and any industry-specific compliance (for example, HIPAA BAA for healthcare).

Typical Dates and Deadlines to Track

Key dates should be stated in the agreement and tracked by both beneficiary and guarantor to preserve rights and triggers.

Effective Date:

Date guaranty becomes operative; use MM/DD/YYYY format

Execution Deadline:

Date by which guarantor must sign and return

Notice Periods:

Cure and acceleration notice windows for default

Recordation:

Deadline to record related instruments with recorder

Claims Limit:

Any time limits for beneficiary to bring enforcement actions

Milestones From Draft to Enforcement

Follow these sequential milestones to reduce execution risk and preserve enforcement options.

01

Drafting and Review

Prepare draft, attach exhibits, and obtain legal review.

02

Execution and Notarization

Sign, date, and notarize if required by jurisdiction or recorders.

03

Delivery and Acceptance

Return executed copy to beneficiary and confirm acceptance.

04
