What a Standard Term Sheet Agreement Is and What It Does

The Standard Term Sheet Agreement is a concise, often non-binding document that records the principal commercial and legal terms of a proposed transaction so parties can confirm shared intent before preparing definitive contracts. It typically summarizes valuation, structure, payment mechanics, timelines, conditions precedent, confidentiality, exclusivity, and any material limitations that counsel must address. Because certain provisions may be intended as binding, those clauses should be clearly labeled to avoid unintended legal obligations and to guide subsequent drafting of purchase, investment, or partnership agreements.

Why Use a Standard Term Sheet Agreement

Use a Standard Term Sheet Agreement to align parties on essential deal economics and responsibilities early, reduce drafting cycles for definitive agreements, and identify deal-breakers before incurring significant legal fees. Clear term sheets can streamline negotiations and improve transaction predictability.

Why Use a Standard Term Sheet Agreement

Who Typically Prepares and Uses These Term Sheets

Typical users include founders, corporate development teams, private equity and venture investors, and outside counsel preparing initial deal outlines.

  • Founders and executives: define equity, dilution, and closing conditions before term negotiations.
  • Investors: record valuation, tranche structure, conversion terms, and protective provisions.
  • M&A teams and lawyers: capture key legal points to speed drafting of definitive agreements.

The term sheet helps hand off a clear summary to drafting counsel and supports internal approvals and board reviews.

  • 01
Draft Summary: Compile principal economic and legal points.
  • 02

  • 03
Obtain Internal Approval: Secure board or investor sign-off as required.
  • 04
Distribute for Signature: Send for signatures with clear version control.

Common Pitfalls When Preparing a Term Sheet

  • Failing to label binding provisions like confidentiality or exclusivity can unintentionally convert preliminary terms into enforceable obligations.
  • Signatures from individuals without express authority or missing entity execution lines can invalidate acceptance or delay closing.
  • Using inconsistent definitions, dates, or rounding rules across sections creates interpretive conflicts in later agreements.

Key Risks and Consequences of Errors in Term Sheets

Enforceability Risk: Unclear binding terms
Confidentiality Breach: Unauthorized disclosure exposure
Tax Consequences: Incorrect entity classification
Delay Costs: Extended negotiation time
Regulatory Approval: Missing required filings
Reputational Harm: Public disputes or leaks
