STANDARDS AFFIRMATION DOCUMENT

This Standards Affirmation Document (the "Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client engages Service Provider to perform services described herein and Service Provider represents that it maintains internal policies, processes, and controls designed to meet applicable professional, regulatory and contractual standards; and

WHEREAS, Client requires a written affirmation from Service Provider that the services will be performed in material compliance with the standards, laws and controls identified in this Agreement and any referenced appendices; and

WHEREAS, the parties intend that this Agreement document the specific standards, payment terms, term and termination, confidentiality obligations and remedies applicable to the engagement.

AFFIRMATIONS AND REPRESENTATIONS

Service Provider affirms, certifies and represents that, as of the Effective Date and throughout the Term, it will comply with the following applicable obligations (select each applicable affirmation and initial where indicated):

SCOPE OF WORK

The Service Provider shall perform the following services in accordance with the affirmed standards and representations:

PAYMENT TERMS

Client shall pay Service Provider for services rendered in accordance with the following payment terms:

Unless otherwise agreed in writing, Client shall pay invoices within the number of days specified in the payment schedule. Late payments shall accrue the late fee set forth above and the Service Provider may suspend performance if payments are more than thirty (30) days overdue, provided Service Provider gives seven (7) days' prior written notice.

TERM AND TERMINATION

This Agreement commences on and expires on , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement immediately for material breach by the other party that remains uncured for a period of thirty (30) days after written notice specifying the breach. Termination for cause is without prejudice to any other remedies available at law or in equity.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in oral, written or electronic form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each receiving party shall: (a) hold Confidential Information in strict confidence and use it only for the purposes of performing under this Agreement; (b) restrict disclosure to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein; and (c) take reasonable measures to prevent unauthorized disclosure. The foregoing shall not apply to information that is or becomes publicly available through no fault of the receiving party, or that is rightfully received from a third party without breach of an obligation of confidentiality.

AUDIT RIGHTS AND REMEDIES

Client shall have the right, upon reasonable prior notice and during normal business hours, to audit Service Provider's records and procedures reasonably related to the Services and compliance with the affirmed standards. If an audit reveals material noncompliance, Service Provider shall promptly remedy such noncompliance at its own expense and reimburse Client for the reasonable cost of the audit if material noncompliance is found.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and schedules expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

CERTIFICATION

The undersigned represent and warrant that they are authorized to make the affirmations contained in this Agreement on behalf of the party for whom they sign, and that the information and acknowledgements provided herein are true and accurate to the best of their knowledge. False or misleading affirmations may constitute a material breach and may subject the signing party to damages and other remedies.
