WHEREAS, Service Provider and Client enter into this State Information Packet and Agreement to set forth the state-specific registration, licensing, tax, and compliance information that Service Provider will use to perform services for Client effective ;

WHEREAS, the parties acknowledge that accurate state-level data, including registered agent, tax account numbers, licenses and permits, and insurance information, is necessary for lawful performance of services and for maintaining compliance with applicable state statutes and administrative rules; and

WHEREAS, the parties agree that the representations, disclosures, and certifications contained in this Packet are material to the engagement and that false statements or omissions may be subject to contractual remedy and applicable penalties under state law.

Scope of Work

Service Provider shall undertake the state-specific tasks described below on behalf of Client. These services may include but are not limited to state registration filings, application and renewal of licenses and permits, registration for tax accounts, and preparation of state-required notices.

Payment Terms

Client shall pay Service Provider in accordance with the amounts and schedule set forth below. All fees are due in U.S. dollars and are exclusive of any state filing fees, third-party vendor charges, or taxes unless otherwise specified.

Term and Termination

This Packet and any services described herein commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice as set forth above. Either party may terminate for uncured material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve the Client of its obligation to pay for services performed and costs incurred through the effective date of termination.

Confidentiality

The parties acknowledge that Service Provider will receive Confidential Information as defined below. For purposes of this Agreement, "Confidential Information" means non-public business, financial, personnel, technical, or regulatory information disclosed in any form. Service Provider shall hold Confidential Information in strict confidence and shall not disclose such information except to employees and subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. The obligations of confidentiality do not apply to information that is or becomes publicly available other than by breach of this Agreement or that is independently developed without use of Confidential Information.

Service Provider shall implement commercially reasonable administrative, physical, and technical safeguards appropriate to the sensitivity of the Confidential Information and in compliance with applicable state privacy and security requirements.

By signing below, the parties certify that the information provided in this Packet is true, complete, and correct to the best of their knowledge, and they will promptly notify the other party of any material changes to the information provided.

Compliance; Governing Law; Entire Agreement

Service Provider shall perform all services in compliance with applicable state statutes, administrative rules, and filing requirements. Service Provider will prepare filings and submit information based on Client-provided data and will not be liable for inaccuracies resulting from Client’s failure to provide accurate, timely information.

This Packet and the documents incorporated herein shall be governed by and construed in accordance with the laws of the state indicated in the State field above, without regard to conflict of law principles. Any disputes arising under this Packet shall be resolved in the state or federal courts located in that state.

This Packet constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.
