WHEREAS, the Parties intend that signatures delivered by electronic means, scanned copies of originals, or reproduced by other reliable methods shall have the same force and effect as original wet-ink signatures in the State identified below; and

WHEREAS, the Parties wish to set forth the representations, warranties and procedures that will govern the use, execution, delivery and retention of signed documents.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the Parties agree as follows:

1. DEFINITIONS

What a State Signature Agreement Is

The State Signature Agreement is a written instrument that documents who may sign a specific contract or form, the authorized signature methods, and any notarization or witness requirements. It records parties, effective dates, and signature authority while clarifying whether electronic signatures, remote notarization, or in-person acknowledgements are acceptable. In the United States these agreements are interpreted under the ESIGN Act (15 U.S.C. ch. 96) and UETA (1999), with certain statutorily excluded documents like wills, some court filings, and particular real property instruments.

Why this agreement matters for clear execution

A State Signature Agreement reduces execution risk by documenting authority, acceptable signature technologies, and notarization rules; it streamlines processing, preserves evidence for disputes, and aligns execution practices with ESIGN and UETA requirements.

Why this agreement matters for clear execution

Who prepares and signs these agreements

Typical users who prepare or sign a State Signature Agreement include corporate officers, contract administrators, and legal counsel overseeing execution and compliance.

  • Corporate authorized signers and officers legally responsible for binding contracts.
  • In-house counsel and outside attorneys who review signature authority and legal terms.
  • Operations, HR, and finance staff who manage execution, retention, and audit trail compliance.

Many small businesses, real estate firms, healthcare providers, and government units use these agreements to standardize signing practices across workflows.

Primary roles who interact with the agreement

General Counsel

Reviews and approves signature authority, governing law, and authentication requirements. Ensures the agreement meets ESIGN and UETA standards, documents consent, and advises on notarization or witness needs to reduce legal risk and support enforceability.

Contract Administrator

Prepares the agreement, populates fields, coordinates signer sequencing, and maintains execution records. Manages eSignature workflows, retention policies, and distribution to stakeholders, ensuring the audit trail captures timestamps, IP addresses, and authentication events for compliance and recordkeeping.

Key security and compliance features to expect

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Certifications: SOC 2 Type II; ISO 27001; PCI DSS
HIPAA: BAA available for covered entities
ESIGN/UETA: Compliant with ESIGN and UETA
21 CFR: 21 CFR Part 11 compliance available
Access Controls: SSO, MFA, role-based access

Consequences and legal risks of errors

Incorrect Signatory: May render contract voidable
Missing Notarization: Invalid for deeds or POA
Tax Reporting Errors: 1099 penalties $60–$660+ per form
I-9 Violations: $281–$2,789 per violation
HIPAA Breach: Civil penalties, potential breach reporting
Lost Audit Trail: Diminished enforceability in disputes

Common pitfalls to avoid

  • Failing to confirm signer authority before execution causes costly rescission or disputes and may require contract re-execution or judicial clarification.
  • Using weak signer authentication increases risk of repudiation; include robust methods for high-value transactions such as KBA, SMS codes, or certified digital signatures.
  • Uploading unsigned templates or mismatched versions to eSignature platforms can produce inconsistent records and invalidate intended consent evidence during litigation.
  • Neglecting state-specific witness or notarization rules, especially for real estate or durable powers of attorney, leads to rejection or delayed recording.

Step-by-step: preparing and executing the agreement

Follow these steps to complete a State Signature Agreement accurately and consistently across parties and stakeholders.

  • 01
Prepare Document: Confirm parties, effective date, and governing law.
  • 02

Typical eSignature workflow for execution

Typical eSigning flow for State Signature Agreements integrates upload, field placement, signer routing, authentication, signing, and delivery of executed copies.

  • Upload: Add final PDF or DOCX version for signing.
  • Place Fields: Assign signature, initial, date, and text fields.
  • Authenticate: Use email, SMS code, or advanced verification.
  • Complete: Signer reviews, signs, and receives certificate of completion.

Core elements of a professional State Signature Agreement

A professional State Signature Agreement clearly defines parties, signature authority, authentication methods, notarization needs, effective dates, and recordkeeping obligations to support enforceability and audit readiness.

Parties & Recitals

Identify each party with full legal entity name, organizational role, authority to sign, and clear recital language explaining the transaction's subject matter and consideration to avoid ambiguity about intent.

Signature Blocks

Provide distinct signature blocks for individuals and authorized corporate signers, including printed name, title, signature line, and date; include corporate attestation language where entity execution is required.

Authentication

Specify permitted signature methods and minimum authentication levels for different signer roles; for high-value obligations require multi-factor authentication, identity proofing, or digital certificates to strengthen attribution.

Notary & Witness

Include notarization or witness instructions if applicable, specify number of witnesses, and reference any remote online notarization procedures acceptable under state law.

Audit Trail

Require capture of timestamps, IP addresses, authentication events, and a tamper-evident completion certificate to preserve evidence of signing and enable regulatory compliance.

Amendments

State amendment procedure, including whether electronic signatures suffice for changes and the required approvals or consent thresholds for material modifications.

Practical best practices for accurate execution

Practical best practices reduce errors and support enforceability when preparing, executing, and storing State Signature Agreements.

Verify Signatory Authority
Confirm corporate authorization via board resolution, delegated authority matrix, or power of attorney before execution. Keep evidence of authorization with the agreement to address challenges about capacity or exceeded authority in future disputes.
Use Clear Version Control
Maintain a single master document and use version stamps. Distribute only the final executed version to ensure consistency; track edits, field placements, and template changes to prevent mismatched records.
Document Consent to Electronic Records
For consumer-facing or regulated transactions provide ESIGN-compliant consumer consent disclosures, make a paper option available, and record the recipient's affirmative consent to accept electronic records where required.
Securely Retain Originals
Store signed copies and the audit trail in encrypted systems with access controls. Preserve records per regulatory retention periods and ensure exportable, reproduction-capable formats for legal or regulatory requests.

Relevant timelines and common filing targets

Timelines depend on transaction type; below are common processing or filing deadlines that frequently intersect with signature agreements.

Provide Executed Copy:

Deliver to all parties within 5 business days.

W-9 Requests:

Provide on request to payers; no statutory filing deadline.

1099-NEC:

Provide recipient and IRS by January 31.

I-9 Retention:

Retain per 8 CFR §274a.2 timing rules.

Record Retention:

Keep signed records per applicable retention laws.

Configuring a reliable eSignature workflow

Configure your eSignature workflow to match approval order, authentication, reminders, and secure storage requirements before sending for signature.

Field Configuration
Signer Order Sequential or parallel routing
Authentication Email, SMS, KBA, or SSO
