STEEL WORKS AGREEMENT

This Steel Works Agreement (the Agreement) is made effective as of by and between:

RECITALS

WHEREAS, Contractor is engaged in the business of steel fabrication, erection, welding and associated services and possesses the personnel, equipment and expertise necessary to perform the Work described in this Agreement; and

WHEREAS, Client desires to retain Contractor to furnish labor, materials, equipment and services for the fabrication and installation of steel components in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties intend that the Work will be performed in a professional manner in accordance with applicable codes, standards and this Agreement.

SCOPE OF WORK

Contractor shall perform all labor, supply all materials, provide equipment, and perform services necessary to complete the steel works described below (the Work). The Work includes, but is not limited to, fabrication, cutting, drilling, welding, surface preparation, priming/painting as specified, delivery to the project site, and on-site erection and alignment as required by Client.

PAYMENT TERMS

Contract Price: Client shall pay Contractor a total contract price of $ for full performance of the Work, subject to adjustments for approved change orders.

Invoice Terms: Contractor shall submit invoices in accordance with the Payment Schedule. Client shall pay undisputed amounts within days of receipt of invoice. Disputed items must be raised in writing within the same period or are deemed waived.

Late Payments: Any undisputed amount not paid when due shall incur a late fee equal to the greater of % per month or $ per month, computed from the date payment was due until paid in full.

TERM AND TERMINATION

Term: The term of this Agreement shall commence on and shall continue until completion of the Work, but not later than unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for convenience upon giving no fewer than days' prior written notice to the other party. In the event of termination for convenience, Client shall pay Contractor for Work performed up to the effective date of termination plus reasonable demobilization costs.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public, proprietary information disclosed by the other party in connection with the Work, including technical data, drawings, cost information and commercial terms (Confidential Information). Confidential Information shall not include information that is or becomes publicly known through no breach of this Agreement or is rightfully received from a third party without restriction.

Confidential Information shall be used solely for the performance of this Agreement and may only be disclosed to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein. Upon expiration or termination of this Agreement, each party shall return or destroy Confidential Information as requested by the disclosing party.

WARRANTIES, INSURANCE AND COMPLIANCE

Contractor warrants that all fabricated steel and workmanship shall conform to the specifications set forth in the Detailed Scope and shall be free from defects for a period of 12 months from substantial completion. This warranty shall not apply to defects resulting from abuse, misuse, modification, or ordinary wear and tear.

Contractor shall maintain insurance customary for the industry, including commercial general liability, workers' compensation and automobile liability, with limits sufficient to cover the scope of the Work. Upon request, Contractor shall provide certificates or proof of insurance to Client.

INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Client and its agents from and against all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Contractor's negligent performance of the Work, willful misconduct, or breach of this Agreement, except to the extent resulting from Client's negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute arising under this Agreement shall lie exclusively in the state or federal courts located within that State.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all attachments, exhibits and any written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other addresses as either party may designate in writing. Notices shall be effective upon personal delivery, electronic delivery with confirmation, or three (3) days after deposit in the mail if sent by certified mail.
