Recipient shall maintain as confidential all non-public information disclosed by Sponsor in connection with this Agreement and shall not use or disclose such information except as necessary to perform the obligations under this Agreement or as required by law. Confidential information does not include information that (i) is or becomes generally available to the public other than by breach of this Agreement, (ii) was lawfully in Recipient's possession prior to receipt from Sponsor, or (iii) is independently developed without use of Sponsor's confidential information. This confidentiality obligation shall survive termination of this Agreement for a period of years.

Representations; Compliance; Indemnity

Each party represents that it has the full right, power, and authority to enter into this Agreement. Recipient will perform services in compliance with all applicable laws and regulations. Recipient shall indemnify and hold harmless Sponsor from and against claims, liabilities, and expenses arising from Recipient's breach of this Agreement or negligent or willful acts or omissions in performance.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles.

Entire Agreement; Amendment
