Assignment

For good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Assignor hereby sells, assigns, conveys and transfers to the Assignee all of the Assignor's right, title and interest in and to the shares described in Schedule A, together with all dividends, distributions and rights appurtenant thereto, to have and to hold the same unto the Assignee, its successors and assigns, forever.

The Assignor represents and warrants that: (a) the Assignor is the lawful owner of the shares listed in Schedule A, free and clear of all liens, claims, encumbrances and restrictions except as expressly disclosed in writing; (b) the Assignor has full power and authority to transfer the shares and to execute this Agreement; (c) any certificates delivered to effect the transfer will be genuine, duly endorsed in blank or accompanied by duly executed stock powers; and (d) no corporate or third-party consent, approval or other action is required to make the assignment except as disclosed in writing to the Assignee.

Representations and Warranties of Assignee

The Assignee represents and warrants that it has full power and authority to enter into this Agreement and to accept the assignment of the shares, that it is acquiring the shares for its own account and not with a view to distribution in violation of applicable securities laws, and that it will cooperate in good faith to effect any filings or corporate actions reasonably required to record the transfer.

Closing and Deliveries

At the closing (the "Closing"), which shall occur on the Effective Date or at such other date as the parties may agree in writing, Assignor shall deliver to Assignee the share certificates, if any, together with duly executed instruments of transfer in form and substance sufficient to transfer good and marketable title, and Assignee shall deliver the Consideration as provided above. Each party shall execute and deliver such other instruments and take such further actions as may be reasonably necessary to consummate the transactions contemplated by this Agreement.

Indemnification; Survival

Assignor shall indemnify, defend and hold harmless Assignee and its officers, directors and affiliates from and against any losses, liabilities, costs or expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations, warranties or covenants herein. The representations, warranties and covenants of the parties set forth in this Agreement shall survive the Closing for a period of two (2) years, except that indemnification for fraud shall survive indefinitely.

Transfer Taxes and Expenses

All transfer taxes, documentary stamps or similar charges imposed by any governmental authority in connection with the transfer of the shares shall be borne by , unless otherwise agreed in writing. Each party shall bear its own counsel and other closing expenses, except as otherwise provided herein.

Notices

All notices under this Agreement shall be in writing and shall be deemed given when delivered personally or three (3) business days after being sent by certified mail, return receipt requested, to the addresses set forth above or to such other address as either party may designate by notice.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Governing Law: The validity, interpretation and enforcement of this Agreement shall be governed by the laws of the State of , without regard to conflict of laws principles.

Tax Acknowledgment

Each party acknowledges that it is responsible for its own tax reporting and payment obligations arising from the transfer of the shares, and neither party has relied upon any representation by the other concerning tax consequences except as expressly set forth in writing.
