STOCK AWARD AGREEMENT

This Stock Award Agreement (the Agreement) is made effective as of (the Effective Date) by and between:

Subject to the terms and conditions of this Agreement and the Company’s equity plan (the Plan), the Company hereby grants to the Grantee an award of fully paid and nonassessable shares of (the Shares), on the Grant Date of .

Vesting

If Grantee’s service terminates for any reason prior to a scheduled vesting date, all unvested Shares as of the termination date shall be forfeited to the Company unless otherwise determined in writing by the Company.

Rights and Restrictions

Until Shares are issued and registered (or uncertificated shares evidenced as issued under the Plan), Grantee shall have no rights as a shareholder with respect to the unissued Shares except as otherwise provided in the Plan or this Agreement. Issued certificates representing Shares shall be subject to any legend, stop-transfer order and other restrictions reasonably required by the Company or applicable law.

Tax Withholding

Grantee acknowledges that the Company will satisfy applicable tax withholding obligations associated with the Award pursuant to one or more of the following methods as required by the Company:

Withholding from Grantee’s cash compensation

Surrender of vested Shares (fair market value) or sale of Shares through a broker-assisted transaction

Representations and Warranties

The Grantee represents and warrants to the Company that Grantee is acquiring the Award for investment for Grantee’s own account and not with a view to distribution. The Company represents and warrants to the Grantee that it has duly authorized the Award and that, upon issuance in accordance with the terms hereof, the Shares will be duly authorized, validly issued, fully paid and nonassessable except as set forth in the Plan.

Termination; Forfeiture; Clawback

The Award is subject to forfeiture and clawback in the event of termination for cause, breach of restrictive covenants, fraud, material violation of Company policy or other events specified in the Plan or applicable clawback policy. The Company may require repurchase, cancellation or recovery of Shares as permitted by applicable law, the Plan and Company policy.

Compliance with Law and Plan

Issuance and settlement of the Award are subject to compliance with all applicable federal and state securities laws, and to such approvals as may be required under those laws. The Award is granted under and governed by the terms and conditions of the Plan, which terms are incorporated herein by reference.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other addresses as the parties may designate in writing.

General Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state specified by the Company and, to the extent applicable, federal law. Disputes arising under or relating to this Agreement shall be resolved as set forth in the Plan or, if not addressed therein, by binding arbitration in the county of the Company’s principal office unless otherwise required by law.

Amendment; Waiver: No amendment or waiver of any provision of this Agreement shall be effective unless executed in writing by both parties. Any waiver must be explicit and in writing to be enforceable.

Severability; Entire Agreement: If any provision is held invalid or unenforceable, the remainder shall remain in full force. This Agreement, together with the Plan and any award notices, constitutes the entire agreement between the parties with respect to the subject matter hereof.
