STOCK CERTIFICATE AGREEMENT

This Stock Certificate Agreement (this Agreement) is made as of by and between Company Name: , an entity organized under the laws of , with principal office at (the Company), and Shareholder Name: , with address at (the Shareholder).

RECITALS

WHEREAS, the Company is authorized to issue shares of its capital stock and desires to issue to the Shareholder a certificate representing shares of the Company subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the Shareholder desires to accept such certificate and agrees that the ownership, transfer, and disposition of the shares represented thereby shall be subject to the restrictions, legends, and other provisions contained in this Agreement and in the Company's organizational documents; and

WHEREAS, the parties intend that the certificate issued to the Shareholder shall evidence the Shareholder's ownership of the number and class of shares set forth below and shall be governed by the substantive terms contained in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties agree as follows:

1. ISSUANCE OF STOCK CERTIFICATE

1.1 Issuance. Subject to the terms and conditions of this Agreement, the Company shall issue to the Shareholder a stock certificate (the Certificate) representing shares of stock, Certificate No. , issued as of (Issue Date).

1.2 Consideration. The Shareholder acknowledges receipt of the Certificate in exchange for consideration of paid to the Company, or such other lawful consideration as recorded by the Company.

2. REPRESENTATIONS AND WARRANTIES OF THE COMPANY

The Company represents and warrants to the Shareholder that: (a) it is duly organized, validly existing, and in good standing under the laws of the jurisdiction set forth above; (b) it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder; (c) when issued and delivered in accordance with this Agreement, the shares represented by the Certificate will be duly authorized, validly issued, fully paid and nonassessable; and (d) the issuance of such shares does not contravene its organizational documents or any agreement binding on the Company.

3. REPRESENTATIONS AND WARRANTIES OF THE SHAREHOLDER

The Shareholder represents and warrants to the Company that: (a) the Shareholder has full power and authority to enter into this Agreement and to perform all obligations hereunder; (b) the Shareholder is acquiring the shares for investment for the Shareholder's own account and not with the intent to distribute the shares; (c) the Shareholder acknowledges restrictions on transfer imposed by this Agreement and by applicable securities laws; and (d) the Shareholder is an accredited or otherwise qualified investor under applicable securities law to the extent required by the Company.

4. TRANSFER RESTRICTIONS

4.1 General Restriction. The shares represented by the Certificate shall not be transferred, assigned, pledged, hypothecated or otherwise disposed of except in compliance with this Agreement, the Company's organizational documents, and applicable securities laws. Any purported transfer in violation of this Agreement shall be null and void and the Company shall not be required to give effect to such transfer on its stock ledger.

4.2 Right of First Refusal. Before transferring any shares represented by the Certificate, the Shareholder shall give the Company written notice of the proposed transfer and the Company shall have a right of first refusal to purchase such shares on the same terms. Notice shall be delivered in accordance with the Notices provision below.

4.3 Legend. The Certificate shall bear a legend in substantially the following form: "THE SECURITIES REPRESENTED BY THIS CERTIFICATE ARE SUBJECT TO RESTRICTIONS ON TRANSFER, REPURCHASE AND OTHER LIMITATIONS PURSUANT TO A STOCK CERTIFICATE AGREEMENT BETWEEN THE ISSUER AND THE HOLDER, WHICH RESTRICTIONS MAY REQUIRE THE CONSENT OF THE ISSUER PRIOR TO TRANSFER. A COPY OF SUCH AGREEMENT IS ON FILE AT THE PRINCIPAL OFFICE OF THE ISSUER." The Company may require additional legends to comply with applicable law.

5. CERTIFICATES, SURRENDER AND REPLACEMENT

5.1 Delivery. The Company shall deliver to the Shareholder the original Certificate evidencing the shares described in Section 1.1 within a commercially reasonable time following the Issue Date.

5.2 Surrender of Certificate. If required by the Company, upon any permitted transfer the Shareholder shall, prior to transfer, surrender the Certificate to the Company for endorsement and issuance of a new Certificate representing the transferred shares.

5.3 Replacement. Upon receipt of an affidavit of loss, indemnity or other documentation reasonably required by the Company, and subject to any applicable waiting period, the Company may issue a replacement Certificate in place of a lost, stolen or destroyed Certificate.

6. VOTING, DIVIDENDS AND OTHER RIGHTS

The Shareholder shall have all voting, dividend and other rights with respect to the shares represented by the Certificate as provided in the Company's organizational documents, subject to any restrictions or limitations set forth in this Agreement and applicable law.

7. COMPLIANCE WITH LAW

The Shareholder acknowledges that the transfer or sale of the shares may be subject to federal and state securities laws. The Company may impose such stop-transfer instructions, conditions, and legend requirements as are necessary or advisable to comply with applicable securities laws, and the Shareholder agrees to comply with all reasonable requests of the Company to evidence compliance.

8. REMEDIES

In the event of a breach of this Agreement, the non-breaching party shall be entitled to seek injunctive relief and specific performance in addition to any other remedies at law or in equity. The prevailing party in any action to enforce this Agreement shall be entitled to recover its reasonable attorneys' fees and costs.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or mailed by certified mail, return receipt requested, to the addresses set forth above or to such other address as any party may designate by notice to the other.

10. AMENDMENT; WAIVER

This Agreement may be amended or modified only by a written instrument executed by both the Company and the Shareholder. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom enforcement is sought; no waiver of any breach shall be deemed a waiver of any other or subsequent breach.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

12. ENTIRE AGREEMENT

This Agreement, together with any certificates, schedules and instruments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.
